1 WHEREAS, the City of Saint Paul (City) desires to enter into a Joint Powers
2 Agreement No. 76438 with the State of Minnesota (MnDOT); and
3 WHEREAS, MnDOT has assembled a multi-agency team to complete an Intelligent
4 Transportation Systems (ITS) deployment initiative, the Orion Project (ORION), that is
5 a cooperative effort to make more efficient use of existing transportation facilities
through the application of ITS technologies and, therefore, is beneficial to the
6 citizens of the State of Minnesota and the City of Saint Paul; and

& WHEREAS, said project will provide the City of Saint Paul with capability to
9 share real time traffic information with other metro agencies and MnDOT for the
purpose of better traffic management; and

11 WHEREAS, MnDOT's participation in ORION will include contributing staff time
12 and state and federal funds and administering and supervising the agreements required
to complete the projects comprising ORION; and

14 WHEREAS, the City will participate in ORION by contributing staff time and

as required by ORION; and

17 WHEREAS, City staff has reviewed said agreement and does recommend approval;
1 � NOW, THEREFORE, BE IT RESOLVED, that the appropriate City of Saint Paul
19 officials be authorized and directed to execute, on behalf of the City of Saint Paul,
20 Joint Powers Agreement No. 76438 between the City of Saint Paul and the State of
21 Minnesota, allowing for the City of Saint Paul to participate in a metro area ORION
Intelligent Transportation Systems (ITS) project, substantially in the form submitted.

The City of Saint Paul has been authorized as a partner in a MnDOT metro wide traffic information and managemert project called
ORION. This project is a cooperative effort between Saint Paul, Minneapolis, Hennepin County, and MnDOT to reduce traffic congestion
through related and coordinated traftic information and management systems. The project is fu�ed entirely by the State of Minnesota,
and will ultimately enable all agencies involved to utilized state of the art computerized hardware and software to detect, disseminate and
share reai time traffic information both with each other and with the motoring public for the purpose of better traffic management. The
agreement in question is necessary in order to carry out the actions needed to implement a metro-wide deployment initiative and to
coordinate a multi-agency project which extends across jurisdictional boundaries.

JOINT POWERS AGREEMENT BETWEEN 1� MINNESOTA DEPARTMENT OF
TRANSPORTATION AND THE CITY OF ST. PAUL

THIS AGREEMENT, which shall be interpreted pursuant to the laws of the State of Minnesota, is made
and entered into by and between the State of Minnesota, through its Commissioner of Transportation
(hereinafter "Mn(DOT"), and the Ciry of St. Paul (hereinaSer "Ciry").
'WHEREAS, Mn1D�T and the City are empowered to enter into joint powers agreements pursuant to
Minnesota Statutes Section 471.59, subdivision 1(1998); and
WHEREAS, two governmental units may enter into an agreement to cooperatively exercise any power
common to the contracting parties and one of the participating governmental units may exercise one of its
powers on behalf of the other governmental unit; and
WHEREAS, Mn/DOT may act on behalf of any governmental subdivision for the unprovement of
transportation facilities; and
WHEREAS, Mn/DOT has assembled a multi-agency team to complete an Intelligent Transportation
Systems (hereinafter "ITS") deployment initiative, the Orion Project (hereinafter "Orion"), that is a
cooperative effort to make more effective use of the existing transportation facilities through the
application of ITS technologies and, therefore, is beneficial to the citizens of the State of Minnesota; and
WHEREAS, Orion crosses jurisd'actional boundaries in its scope and, therefore, the City wishes to
appoint Mn/DOT to act on its behalf by coordinating all of the agencies involved in Orion in order to
achieve seamless transportation systems and by providing to the Ciry infrastructure improvements; and
WFiEREAS, MnlDOT has entered into an agreement with Lockheed Martin Federal Systems (hereinafter
"LMFS") to perform design activities and to acquire the required hazdware, software, and integration for
Orion; and
WHEREAS, the aforementioned agreement between LMFS and Mn/DOT identified as Mn/DOT
Agreement No. '75822, and its amendments aze incorporated herein by reference; and
WHEREAS, MniDOT's participation in Orion will include contributing staff time and state and federal
funds and administering and supervising the agreements required to complete the projects comprising
Orion; and
WHEREAS, the City will participate in Otion by contributing staff time and operations and maintenance
support and by providing to Mn/DOT access to City facilities as required by Orion.
NOW, THEREFORE, MnIDOT and the City agree to the following:

I. TERM OF AGI2EEMENT.
This Agreement shall be effective upon the date of execution and approval by the appropriate Ciry,
MnlDOT, and state officials and shall remain in effect until December 31, 2002. Upon termination,
the obligations, duties, and rights under this Agreement shall terminate unless extended prior to said
date by written amendment executed by the parties and approved by the appropriate City and State
officials.
II. CITY APPOINTMENT AND ACKNOWLEDGMENT FOR MN/DOT
a) The City appoints Mn/DOT to act on its behalf by coordinating all of the agencies involved in
Orion in order to achieve seamless transportation systems and by providing to the City
infrastructure improvements. Mn/DOT will direct the development and implementation of the
Orion State Projects, as identified in Appendix A, which is attached and incorporated.
b) The City acknowledges that Mn/DOT has entered into a public/private pattnership agreement
with (LMFS) to perform design activities and to develop the required software and integrate
the systems for the Orion State Projects identified in Appendix A.
III. OBLIGATIONS OF TI� CITY AND MN/DOT.
A. Program Management Team.
Mn/DOT will form a Program Management Team to act as a joint committee of representatives
from Mn/DOT, the City of Minneapolis, the Meuopolitan Council, Federal Highway
Admuiistration, the State Patrol Division of the Minnesota Depariment of Public Safety, and
LMFS (hereinafter "Program Management Team") to coordinate Oraon. The Program
Management Team will meet at mutually agreeable times and locations. MnlAOT shall be
responsible for the administration of the meetings and for notifying committee members of the
meeting dates, times, and agenda. The Program Management Team shall provide direction for
Orion and technical, schedule, and cost status of the Orion State Projects which aze detailed in
Appendix A. The City shall also appoint one representative to serve on the Arterial Team, a
subteam of the Program Management Team, which directs the Orion arterial projects.
B. Description of Work and Funding.
i. DUTIES OF CITY.
The City shall perform the following activities and provide the required services as the City's
contribution to Orion.
Proiect Management/CoordinationlImnlementation.
The City shall appoint a staff position for project coordinationladministration for the term of
Orion. This person shall work with Mn/DOT in keeping Orion status reports on schedule and

budget up-to-date and shall report to Mn/DOT as requested on the status of the City
involvement in the Orion State Projects.
Su�port staff.
The City shall provide for the Orion State Projects identified in Appendix A the needed staff to
help identify and provide input to all system design requirements; to review and approve the
system design; to perform installation and/or to provide installation support according to the
installation plan developed by LMF5 with input from the City and Mn/DOT; to test and accept
the LMFS-developed systems using a system acceptance test plan developed by LMFS with
input from the City and Mn/DOT; to review construction plans and specifications prior to
letting; to provide construction support and inspection when needed; to provide input to the
development of the Operations and Maintenance Plans; to participate in training for system
adnuuistrators and operators; and to participate in the evaluation of the systems. The City
staff shall cooperate with the Orion evaluation consultant, Cambridge Systematics, Inc., in the
data collection, as well as in the review of draft and finai reports. The City staff provided shall
be available, as needed, to respond to LMFS requests in a innely manner.
Access to facilities.
To the extent necessary to carry out this Agreement, the City shall provide to LMFS and its
subcontractors access to the City Hall Annex, as well as any other City facilities required to
upgrade the communications and install the Data Distribution Node (DDN) interface for the
City. The Ciry shali also provide access to City Right-of-Way when required for installation
and maintenance of cameras, cable, conduit, signs, monitors, computers, etc. for Orion State
Projects identified in Appendix A.
Operations and Maintenance Support
The Ciry shall provide the needed staff for operations of the Orion State Projects identified in
Appendix A, which includes the DDN interfaces to the Regional ITS Management System
located in the Transportation Building at 395 Jolm Ireland Boulevard, St. Paul. The City shall
also be responsible for the maintenance of the hardwaze and softwaze used for the Orion State
Projects identified in Appendix A, which includes the DDN interfaces to the Regional ITS
Management System. A detailed maintenance agreement between the City and Mn/DOT will
follow after the detailed design has been completed for the specific Orion State Projects.
2. DUTIES OF MNlDOT
ProfessionallTechnical Services
Mn/DOT may utilize contractual means to perform some of its responsibilities for Orion,
including schedule and budget management, selection of evaluation goals and objectives for
Orion, identification of required data collection, and prepazation of an Evaluation Plan and
Final Evaluation Repoft. Mn/DOT shall manage and administer any contracts entered into for
Orion. Mn/DOT shall direct the work of the contractors and pay for such services. Mn/DQT

shall provide to the City reports generated by it or by its contractors as to the status of the work
performed under these contracts.
Pro,�ect Management.
MniDOT shall prepare, manage, and administer its contract with LMFS for the design,
development, and integration of the required systems and software for Orion. Mn1DOT will
direct the work of LMFS and other contractors involved with implementing Orion and will
make payment for the equipment and services provided under Orion contracts.
Mn/DOT shall provide to the City reports generated by it or any and all of the contractors as to
the status of the work performed under such contracts. Mn/DOT will work with the Ciry in
keeping Orion status reports up-to-date and will report to the City as requested on the status.
Provision of DDN Interface to Regional ITS Management System.
Mn/DOT shall provide a DDN interface between the City Hall Annex and the Regional ITS
Management System. Mn/DOT shall also provide upgrades to the infrastructure as needed to
implement the DDN interface. Mn/DOT, with the support of LMFS, will identify test
acceptance criteria and wili conduct acceptance testing before the interface becomes
operational.
Through a sepazate agreement, Mn/DOT and the Metropolitan Council have purchased the
Lawrence Group base map which includes a nine-county metropolitan azea of Minneapolis-St.
Paul, and Mn/DOT will require Lawrence Group to make the required enhancements to support
Orion in a timely manner to meet the implementation schedule.
3. TERMS OF PAYMENT
Mn/DOT shall make no payments for work performed and materials provided by the City. It is
anficipated that staff time and installation support of the City will be used as local match to the
state funds. Therefore, the value of the City's in-kind contributions shall be accounted for and
reported to Mn/DOT monthly. The Ciry shall also submit to Mn/DOT schedule and budget
progress reports. The reports shall be in a format and time line designated by Mn/DOT for ffie
purposes of tracking the schedule and budget.
The City shall make no payments for work performed and materials provided by Mn/DOT in
implementing the DDN interface between the Ciry Hall Annex and the Regional ITS
Management System and in implementing the other Orion State Projects identified in Appendis
A.
IV. OWNERSHIP OF DOCIJMENTS AND COPYRIGHT.
Any reports, studies, photographs, negatives, or other documents prepared under this Agreement
shall be the exclusive property of Mn/DOT. Mn/DOT shall provide to the City copies of any
reports, studies, photographs, negatives, or other documents prepared under this Agreement and

grants the City a license to reproduce or otherwise use such documents and materials for government
purposes during and after the Agreement.
Mn/DOT shall own all right, tifle, and interest in all copyrightable materials pzoduced under this
Agreement. MnlDOT grants the City and the FHWA a royalty-free, non-exclusive, and irrevocable
license to reproduce, publish, or otherwise use and to authorize others to use for government
purposes the copyrights identified above.
The City acknowledges that LMFS shall retain all right, title, and interest in all software wluch
LMFS conceived or originated, either individually or joinfly with others, and which arises out of the
LMFS agreement with Mn/DOT, including ownership of copyright. In its Agreement with LMF5,
Mn/DOT reserved a royalty-free, nonexclusive, and inevocable license to reproduce, publish, or
otherwise use, and to authorize others to use, for government purposes in Minnesota the following:
1) the copyright in any software developed under the LMFS agreement with Mn{DOT, or under a
subgrant or subcontract under that agreement; and 2) any rights of copyrlght to which Mn/DOT, its
subgrantee, or contractoz purchase ownership under the LMFS agreement with Mn/DOT.
Therefore, Mn/DOT will authorize the City to use for government purposes in Minnesota the
aforementioned software that is required for operation of the Orion State Projects identified in
Appendix A.
V. OWNERSHIP OF EQUIPMENT.
Any equigment purchased for the City through the Mn/DOT Agreement with LMFS for the Orion
State Projects, including the DDN interfaces between the Regional ITS Management System and the
City facilities (City Hall Annex), shall become the propercy of the City, as a result of the Ciry's
participation in Orion, unless otherwise indicated in Appendix A. Therefore, after acceptance of the
equipment by the City and MnlDOT, the City shall be responsible for its operation and maintenance.
The City agrees thai all work shall be done by qualified, insured technicians in compliance with all
applicable laws, ordinances, and regulations.
VI. AUTHORIZED AGENTS.
The Ciry's Authorized Agent for the purpose of administration of this Agreement is Paul Kurtz,
Project Manager, or his successor and he shall be responsible for administrative services for the
project and reporting to MnIDOT.
Mn/DOT's Autlaorized Agent for the purpose of administration of this Agreement is James Wright,
ITS Section D'uector, or his successor and he shall be responsible for administrative services for the
project and reporting to the City.
VII. LTABILITY.
Any and all employees of Mn/DOT and all other persons employed by Mn/DOT to perform any or
all of the work under this Agreement shall not be considered employees of the City and any and all
claims that may or might arise under the Workers' Compensation Act of Minnesota on behalf of said

employees or persons whIle so engaged, and any and all claims made by any third person as a
consequence of any act or omission on the part of said employees or persons while so engaged in
any of the work contemplated herein, shall not be the obligation or responsibIlity of the City.
Any and all employees of the City and all other persons employed by the Ciry to perform any of the
work under this Agreement shall not be considered employees of Mn/DOT and any and all claims
that may or might azise under the Workers Compensation Act of Minnesota on behalf of said
employees or persons while so engaged, and any and all claims made by any third person as a
consequence of any act or omission on the part of said employees or persons while so engaged in
any of the work contemplated herein, shall not be the obligation or responsibility of Mn/DOT.
Each party shall be responsible for its own acts and omissions, the acts and omissions of its
employees, and results thereof to the extent authorized by law. The parties shall not be responsible
for the acts of any others and the results thereof. Liability of MnlDOT shall be govemed by the
provisions of the Minnesota Tort Claims Act, Minnesota Statute Section 3.736 (1998) and other
applicable law. Liability of the City shall be govemed by the provisions of the Municipal Tort
Claims Act, Minnesota Statutes Chapter 466 (1998).
VIII. ASSIGNMENT.
Neither Mn/DOT nor the City shall assign or transfer any rights or obligations under this Agreement
without the prior written approval of the offier party.
IX. TERMINATION.
This Agreement may be terminated by Mn/DOT or the City at any time, with or without cause,
upon ninety (90) days' written notice to the other party.
X. AMENDMENTS.
Any amendments to this Agreement shall be in writing and shall be executed and approved by the
proper City, MnIDOT, and state officials.
XI. DATA PRACTICES.
The City and Mn/DOT sha11 comply with Minnesota Statutes Chapter 13 (199$), the "Minnesota
Government Data Practices Act," as it applies to all data provided by the Ciry and MnIDOT in
accordance with this Agreement and as it applies to all data created, gathered, generated, or
acquired in accordance with this Agreement.

1 State Project 8825-04 (1) Communicarions Network/Data Distribution Nodes
1.1 ProjectDescription/Objectives
The Data Distribution and Communications project will permit agencies to share Twin Cities metropolitan
area regional traffic, incident, event, and other informadon between multiple public agencies and private
traveler information providers. It will define a video architecture, information sharing requ'uements, and
a data communications network azchitecture. In addition, the project will implement Data Disuibution
Nodes (DDNs) at the various public agency locations, a Regional ITS Management System (RITS), and an
interagency communications network with appropriate network securiry.
The DDN will be built upon an open architecture and open communications which will position Mn/DOT
to adapt to future changes and integrate additional functions into the interagency data communications
network. It will contain the communications and data distribution management required to shaze data, as
well as the system administration functions to allow the user to easily set up and manage the distribution
of information. Travel and system data and information will be shared among public agencies on a peer-
to-peer basis through the DDNs, as well as allowing centralized access to information through the
Regional ITS Management System.
The Regional ITS Management System will be located in the Transportation Building at 395 John Ireland
Boulevard, St. Paul. It will provide a single point of interface between extemal uaveler information
providers and the public agencies. It will also provide appropriate data archiving services and appropriate
Orion supporting functions. Training materials will be developed and classes will be conducted using a
DDN "train the trainers" approach.
1.2 Locations
DDN functions will be provided at the following location in the City:
• City Hall Annex at 25 West 4''' Street, St. Paul
1.3 Ownership, Installation, Operation, and Maintenance
The City shall own the computer hardware and cables purchased and installed by Mn/DOT at
the City facilities for this State Project. The City shall also operate and maintain said components.
Mn1DOT will authorize the City to use for government purposes the software that it provides for this State
Project. Said software will be operated and supported by the City. Installation of new DDN hazdware
and softwaze will be performed by Mn/DOT with City support. Installation of software on existing
systems will be performed by the City with Mn(DQT support.
If leased services are required for communications between the City DDN locations and the Regional ITS
Management System, the City will wver costs at its facilities and Mn1DOT will cover costs at the
Regional ITS Management System location.

2 State Project 8825-10 Traffic Signal Control
2.1 Project Description/Objectives
The purpose of the Tra�c Signal Control State Project is to increase the vehicle throughput on the arterial
road system by developing and implementing new signal timing plans. The focus will be on improving
traffic flow under conditions of heavier demand due to diversion conditions relating to incidents on the
freeway system. Operational thresholds for changing signal timing plans wIll be determined for each route
based on volume and occupancy data collected by signal system status detectors. When thresholds aze
reached, the s a°nal control systems will be capable of automatically implementing diversion timing plans.
Altematively, the agency signal system operator can manually implement timing plans when required.

Incident diversion timing plans will be developed and tested for three (3) conidors within each of the
Orion agency jurisdictions, which include Hennepin County, the City of Minneapolis, and the City. The

in the Twin Cities metropolitan area. The system will provide the capability to macroscopically assess the
performance of the arterial roadways and will complement the existing freeway management system by
providing arterial traffic engineers with the tools for coordinated traffic management for incidents. The
intent is to provide a system that will quickly and succinctly convey current overall traffic flow conditions

operators of significantly changing conditions.
3.2 Locations
The data collection and display system shall be unplemented for the following arterial corridor sections in
the City:
• Marshail Avenue - Otis Avenue (Mississippi River) to Sneiling Avenue
• TH 52 (University Avenue) - Park Avenue to Emerald Street (Minneapolis)
• TH 51 (Snelling Avenue) - Hewitt Avenue to Randolph Street
• Dale Street - Maryland Avenue to I-94 (Concordia)
• Maryland Avenue - Dale Street to White Bear Avenue
• White Beaz Avenue - Iowa Avenue to Suburban Avenue
• TH 49 (Rice Street) - University Ave. to Larpenteur Avenue
• TH 61 (Arcade Street) - Wheelock Pazkway to 7th Street
3.3 Ownership, Installation, Operation, and Maintenance
Controller equipment upgrades/modifications will be required for this State Project, and the labor for this
effort will be performed by City personnel. Mn/DOT will define the modifications tequired for 30
master/controllers for the City, as well as supply the controller equipment, which includes modems and
interface boards, to be installed. Mn/DOT will perform the installation required for communication services.
These communication services include installing fiber optic cable from the I-94 corridor to the St. Paul City
Hall Annex. The City will pay the operational and maintenance costs of the communications services, and
will also pay the annual costs associated with the communications services.
The City will provide to Mn/DOT access to City Right-of-Way for instaliation by Mn/DOT of
communications cables at the Dale Street facility, if needed. The City will provide to Mn/DOT access to
City Right-of-Way for installation by Mn/DOT of the detection procured by Mn/DOT, which includes 40
Autoscope video sensors. The City shall own, operate, and maintain the detection components used in this
State Project.
Instaliation of hazdwaze and software at the City Hall Annex wili be performed by MnlDOT. Said hazdwaze
will be owned, operated, and maintained by the City. Mn/DOT will authorize the City to use for govemment
purposes the softwaze that it provides for this State Project. Said softwaze will be operated and supported by
the City. Mn/DOT will supply additional software support as appropriate.

4.1 ProjectDescription/Objectives
The Arterial Closed Circuit Television (CCT� Surveillance System will impiement an interagency arterial
traffic surveillance system that expands upon the existing freeway and arterial surveillance systems. This
system will provide arterial and freeway traffic management personnel with video surveillance of roadways
in the Twin Cities Metro Area for use in traffic mattagement, incident detection, and incident management.
This video will be shared with public agencies and private sector independent service providers to enhance
the region's traveler information systems. This system will supplement the existing traffic surveillance
video-sharing system between public agencies by developing and implementing an architecture for video
communications and control. All video will be routed through Mv/DOT's Traffic Management Center
(TMC) video routing switcher.
4.2 Locations
Traffic surveillance cameras will be installed at the following City locarions:

4.3 Ownership, Installarion, Operation, and Maintenance
The City wiil own and operate the traffic surveillance cameras which will be procured and installed by
Mn/DOT. The City wili maintain the cables, conduits, etc. from the point where the communication cables
enter the pole-mounted CCTV cabinet through the City cabinets to the point where the communication
cables enter the MvIDOT cabinets. Mn/DOT Electrical Services Section (ESS) Fort Snelling staff will
maintain the portion of the system from the pole-mounted CCT'V cabinet to the top of the camera pole, i.e.,
camera, lens camera housing, etc. Mn/DOT ESS TMC staff will maintain the fiber optic portion of the video
communications system. The Operations and Maintenance Plan for this State Project provides detail for each
location.
The cost for maintaitting the cameras and the communications components between the cameras and the
TMC will be paid for by Mn/DOT for the period of time from acceptance of the system components, when
the City assuxnes ownership and operation, until November 1, 2000, when the City will assume maintenance
responsibility. The costs associated with Mn/DOT's ESS Fort Sneliing maintenance support will be paid by
Mn/DOT.
The communication services which are provided beriveen the TMC switcher and the City aze covered, and
will continue to be covered, under Mn/DOT Agreement No. 72802 between the City and Mn/DOT.
Mn/DOT and the City will each be responsible for locating the portion of the system they maintain, as
required under the Gopher State One Call System.

The City of Saint Paul has been authorized as a partner in a MnDOT metro wide traffic information and managemert project called
ORION. This project is a cooperative effort between Saint Paul, Minneapolis, Hennepin County, and MnDOT to reduce traffic congestion

THIS AGREEMENT, which shall be interpreted pursuant to the laws of the State of Minnesota, is made
and entered into by and between the State of Minnesota, through its Commissioner of Transportation
(hereinafter "Mn(DOT"), and the Ciry of St. Paul (hereinaSer "Ciry").
'WHEREAS, Mn1D�T and the City are empowered to enter into joint powers agreements pursuant to
Minnesota Statutes Section 471.59, subdivision 1(1998); and
WHEREAS, two governmental units may enter into an agreement to cooperatively exercise any power
common to the contracting parties and one of the participating governmental units may exercise one of its
powers on behalf of the other governmental unit; and
WHEREAS, Mn/DOT may act on behalf of any governmental subdivision for the unprovement of
transportation facilities; and
WHEREAS, Mn/DOT has assembled a multi-agency team to complete an Intelligent Transportation
Systems (hereinafter "ITS") deployment initiative, the Orion Project (hereinafter "Orion"), that is a
cooperative effort to make more effective use of the existing transportation facilities through the
application of ITS technologies and, therefore, is beneficial to the citizens of the State of Minnesota; and
WHEREAS, Orion crosses jurisd'actional boundaries in its scope and, therefore, the City wishes to
appoint Mn/DOT to act on its behalf by coordinating all of the agencies involved in Orion in order to
achieve seamless transportation systems and by providing to the Ciry infrastructure improvements; and
WFiEREAS, MnlDOT has entered into an agreement with Lockheed Martin Federal Systems (hereinafter
"LMFS") to perform design activities and to acquire the required hazdware, software, and integration for
Orion; and
WHEREAS, the aforementioned agreement between LMFS and Mn/DOT identified as Mn/DOT
Agreement No. '75822, and its amendments aze incorporated herein by reference; and
WHEREAS, MniDOT's participation in Orion will include contributing staff time and state and federal
funds and administering and supervising the agreements required to complete the projects comprising
Orion; and
WHEREAS, the City will participate in Otion by contributing staff time and operations and maintenance
support and by providing to Mn/DOT access to City facilities as required by Orion.
NOW, THEREFORE, MnIDOT and the City agree to the following:

I. TERM OF AGI2EEMENT.
This Agreement shall be effective upon the date of execution and approval by the appropriate Ciry,
MnlDOT, and state officials and shall remain in effect until December 31, 2002. Upon termination,
the obligations, duties, and rights under this Agreement shall terminate unless extended prior to said
date by written amendment executed by the parties and approved by the appropriate City and State
officials.
II. CITY APPOINTMENT AND ACKNOWLEDGMENT FOR MN/DOT
a) The City appoints Mn/DOT to act on its behalf by coordinating all of the agencies involved in
Orion in order to achieve seamless transportation systems and by providing to the City
infrastructure improvements. Mn/DOT will direct the development and implementation of the
Orion State Projects, as identified in Appendix A, which is attached and incorporated.
b) The City acknowledges that Mn/DOT has entered into a public/private pattnership agreement
with (LMFS) to perform design activities and to develop the required software and integrate
the systems for the Orion State Projects identified in Appendix A.
III. OBLIGATIONS OF TI� CITY AND MN/DOT.
A. Program Management Team.
Mn/DOT will form a Program Management Team to act as a joint committee of representatives
from Mn/DOT, the City of Minneapolis, the Meuopolitan Council, Federal Highway
Admuiistration, the State Patrol Division of the Minnesota Depariment of Public Safety, and
LMFS (hereinafter "Program Management Team") to coordinate Oraon. The Program
Management Team will meet at mutually agreeable times and locations. MnlAOT shall be
responsible for the administration of the meetings and for notifying committee members of the
meeting dates, times, and agenda. The Program Management Team shall provide direction for
Orion and technical, schedule, and cost status of the Orion State Projects which aze detailed in
Appendix A. The City shall also appoint one representative to serve on the Arterial Team, a
subteam of the Program Management Team, which directs the Orion arterial projects.
B. Description of Work and Funding.
i. DUTIES OF CITY.
The City shall perform the following activities and provide the required services as the City's
contribution to Orion.
Proiect Management/CoordinationlImnlementation.
The City shall appoint a staff position for project coordinationladministration for the term of
Orion. This person shall work with Mn/DOT in keeping Orion status reports on schedule and

budget up-to-date and shall report to Mn/DOT as requested on the status of the City
involvement in the Orion State Projects.
Su�port staff.
The City shall provide for the Orion State Projects identified in Appendix A the needed staff to
help identify and provide input to all system design requirements; to review and approve the
system design; to perform installation and/or to provide installation support according to the
installation plan developed by LMF5 with input from the City and Mn/DOT; to test and accept
the LMFS-developed systems using a system acceptance test plan developed by LMFS with
input from the City and Mn/DOT; to review construction plans and specifications prior to
letting; to provide construction support and inspection when needed; to provide input to the
development of the Operations and Maintenance Plans; to participate in training for system
adnuuistrators and operators; and to participate in the evaluation of the systems. The City
staff shall cooperate with the Orion evaluation consultant, Cambridge Systematics, Inc., in the
data collection, as well as in the review of draft and finai reports. The City staff provided shall
be available, as needed, to respond to LMFS requests in a innely manner.
Access to facilities.
To the extent necessary to carry out this Agreement, the City shall provide to LMFS and its
subcontractors access to the City Hall Annex, as well as any other City facilities required to
upgrade the communications and install the Data Distribution Node (DDN) interface for the
City. The Ciry shali also provide access to City Right-of-Way when required for installation
and maintenance of cameras, cable, conduit, signs, monitors, computers, etc. for Orion State
Projects identified in Appendix A.
Operations and Maintenance Support
The Ciry shall provide the needed staff for operations of the Orion State Projects identified in
Appendix A, which includes the DDN interfaces to the Regional ITS Management System
located in the Transportation Building at 395 Jolm Ireland Boulevard, St. Paul. The City shall
also be responsible for the maintenance of the hardwaze and softwaze used for the Orion State
Projects identified in Appendix A, which includes the DDN interfaces to the Regional ITS
Management System. A detailed maintenance agreement between the City and Mn/DOT will
follow after the detailed design has been completed for the specific Orion State Projects.
2. DUTIES OF MNlDOT
ProfessionallTechnical Services
Mn/DOT may utilize contractual means to perform some of its responsibilities for Orion,
including schedule and budget management, selection of evaluation goals and objectives for
Orion, identification of required data collection, and prepazation of an Evaluation Plan and
Final Evaluation Repoft. Mn/DOT shall manage and administer any contracts entered into for
Orion. Mn/DOT shall direct the work of the contractors and pay for such services. Mn/DQT

shall provide to the City reports generated by it or by its contractors as to the status of the work
performed under these contracts.
Pro,�ect Management.
MniDOT shall prepare, manage, and administer its contract with LMFS for the design,
development, and integration of the required systems and software for Orion. Mn1DOT will
direct the work of LMFS and other contractors involved with implementing Orion and will
make payment for the equipment and services provided under Orion contracts.
Mn/DOT shall provide to the City reports generated by it or any and all of the contractors as to
the status of the work performed under such contracts. Mn/DOT will work with the Ciry in
keeping Orion status reports up-to-date and will report to the City as requested on the status.
Provision of DDN Interface to Regional ITS Management System.
Mn/DOT shall provide a DDN interface between the City Hall Annex and the Regional ITS
Management System. Mn/DOT shall also provide upgrades to the infrastructure as needed to
implement the DDN interface. Mn/DOT, with the support of LMFS, will identify test
acceptance criteria and wili conduct acceptance testing before the interface becomes
operational.
Through a sepazate agreement, Mn/DOT and the Metropolitan Council have purchased the
Lawrence Group base map which includes a nine-county metropolitan azea of Minneapolis-St.
Paul, and Mn/DOT will require Lawrence Group to make the required enhancements to support
Orion in a timely manner to meet the implementation schedule.
3. TERMS OF PAYMENT
Mn/DOT shall make no payments for work performed and materials provided by the City. It is
anficipated that staff time and installation support of the City will be used as local match to the
state funds. Therefore, the value of the City's in-kind contributions shall be accounted for and
reported to Mn/DOT monthly. The Ciry shall also submit to Mn/DOT schedule and budget
progress reports. The reports shall be in a format and time line designated by Mn/DOT for ffie
purposes of tracking the schedule and budget.
The City shall make no payments for work performed and materials provided by Mn/DOT in
implementing the DDN interface between the Ciry Hall Annex and the Regional ITS
Management System and in implementing the other Orion State Projects identified in Appendis
A.
IV. OWNERSHIP OF DOCIJMENTS AND COPYRIGHT.
Any reports, studies, photographs, negatives, or other documents prepared under this Agreement
shall be the exclusive property of Mn/DOT. Mn/DOT shall provide to the City copies of any
reports, studies, photographs, negatives, or other documents prepared under this Agreement and

grants the City a license to reproduce or otherwise use such documents and materials for government
purposes during and after the Agreement.
Mn/DOT shall own all right, tifle, and interest in all copyrightable materials pzoduced under this
Agreement. MnlDOT grants the City and the FHWA a royalty-free, non-exclusive, and irrevocable
license to reproduce, publish, or otherwise use and to authorize others to use for government
purposes the copyrights identified above.
The City acknowledges that LMFS shall retain all right, title, and interest in all software wluch
LMFS conceived or originated, either individually or joinfly with others, and which arises out of the
LMFS agreement with Mn/DOT, including ownership of copyright. In its Agreement with LMF5,
Mn/DOT reserved a royalty-free, nonexclusive, and inevocable license to reproduce, publish, or
otherwise use, and to authorize others to use, for government purposes in Minnesota the following:
1) the copyright in any software developed under the LMFS agreement with Mn{DOT, or under a
subgrant or subcontract under that agreement; and 2) any rights of copyrlght to which Mn/DOT, its
subgrantee, or contractoz purchase ownership under the LMFS agreement with Mn/DOT.
Therefore, Mn/DOT will authorize the City to use for government purposes in Minnesota the
aforementioned software that is required for operation of the Orion State Projects identified in
Appendix A.
V. OWNERSHIP OF EQUIPMENT.
Any equigment purchased for the City through the Mn/DOT Agreement with LMFS for the Orion
State Projects, including the DDN interfaces between the Regional ITS Management System and the
City facilities (City Hall Annex), shall become the propercy of the City, as a result of the Ciry's
participation in Orion, unless otherwise indicated in Appendix A. Therefore, after acceptance of the
equipment by the City and MnlDOT, the City shall be responsible for its operation and maintenance.
The City agrees thai all work shall be done by qualified, insured technicians in compliance with all
applicable laws, ordinances, and regulations.
VI. AUTHORIZED AGENTS.
The Ciry's Authorized Agent for the purpose of administration of this Agreement is Paul Kurtz,
Project Manager, or his successor and he shall be responsible for administrative services for the
project and reporting to MnIDOT.
Mn/DOT's Autlaorized Agent for the purpose of administration of this Agreement is James Wright,
ITS Section D'uector, or his successor and he shall be responsible for administrative services for the
project and reporting to the City.
VII. LTABILITY.
Any and all employees of Mn/DOT and all other persons employed by Mn/DOT to perform any or
all of the work under this Agreement shall not be considered employees of the City and any and all
claims that may or might arise under the Workers' Compensation Act of Minnesota on behalf of said

employees or persons whIle so engaged, and any and all claims made by any third person as a
consequence of any act or omission on the part of said employees or persons while so engaged in
any of the work contemplated herein, shall not be the obligation or responsibIlity of the City.
Any and all employees of the City and all other persons employed by the Ciry to perform any of the
work under this Agreement shall not be considered employees of Mn/DOT and any and all claims
that may or might azise under the Workers Compensation Act of Minnesota on behalf of said
employees or persons while so engaged, and any and all claims made by any third person as a
consequence of any act or omission on the part of said employees or persons while so engaged in
any of the work contemplated herein, shall not be the obligation or responsibility of Mn/DOT.
Each party shall be responsible for its own acts and omissions, the acts and omissions of its
employees, and results thereof to the extent authorized by law. The parties shall not be responsible
for the acts of any others and the results thereof. Liability of MnlDOT shall be govemed by the
provisions of the Minnesota Tort Claims Act, Minnesota Statute Section 3.736 (1998) and other
applicable law. Liability of the City shall be govemed by the provisions of the Municipal Tort
Claims Act, Minnesota Statutes Chapter 466 (1998).
VIII. ASSIGNMENT.
Neither Mn/DOT nor the City shall assign or transfer any rights or obligations under this Agreement
without the prior written approval of the offier party.
IX. TERMINATION.
This Agreement may be terminated by Mn/DOT or the City at any time, with or without cause,
upon ninety (90) days' written notice to the other party.
X. AMENDMENTS.
Any amendments to this Agreement shall be in writing and shall be executed and approved by the
proper City, MnIDOT, and state officials.

1.1 ProjectDescription/Objectives
The Data Distribution and Communications project will permit agencies to share Twin Cities metropolitan
area regional traffic, incident, event, and other informadon between multiple public agencies and private
traveler information providers. It will define a video architecture, information sharing requ'uements, and
a data communications network azchitecture. In addition, the project will implement Data Disuibution
Nodes (DDNs) at the various public agency locations, a Regional ITS Management System (RITS), and an
interagency communications network with appropriate network securiry.
The DDN will be built upon an open architecture and open communications which will position Mn/DOT
to adapt to future changes and integrate additional functions into the interagency data communications
network. It will contain the communications and data distribution management required to shaze data, as
well as the system administration functions to allow the user to easily set up and manage the distribution
of information. Travel and system data and information will be shared among public agencies on a peer-
to-peer basis through the DDNs, as well as allowing centralized access to information through the
Regional ITS Management System.
The Regional ITS Management System will be located in the Transportation Building at 395 John Ireland
Boulevard, St. Paul. It will provide a single point of interface between extemal uaveler information
providers and the public agencies. It will also provide appropriate data archiving services and appropriate
Orion supporting functions. Training materials will be developed and classes will be conducted using a
DDN "train the trainers" approach.
1.2 Locations
DDN functions will be provided at the following location in the City:
• City Hall Annex at 25 West 4''' Street, St. Paul
1.3 Ownership, Installation, Operation, and Maintenance
The City shall own the computer hardware and cables purchased and installed by Mn/DOT at
the City facilities for this State Project. The City shall also operate and maintain said components.
Mn1DOT will authorize the City to use for government purposes the software that it provides for this State
Project. Said software will be operated and supported by the City. Installation of new DDN hazdware
and softwaze will be performed by Mn/DOT with City support. Installation of software on existing
systems will be performed by the City with Mn(DQT support.
If leased services are required for communications between the City DDN locations and the Regional ITS
Management System, the City will wver costs at its facilities and Mn1DOT will cover costs at the
Regional ITS Management System location.

2 State Project 8825-10 Traffic Signal Control
2.1 Project Description/Objectives
The purpose of the Tra�c Signal Control State Project is to increase the vehicle throughput on the arterial
road system by developing and implementing new signal timing plans. The focus will be on improving
traffic flow under conditions of heavier demand due to diversion conditions relating to incidents on the
freeway system. Operational thresholds for changing signal timing plans wIll be determined for each route
based on volume and occupancy data collected by signal system status detectors. When thresholds aze
reached, the s a°nal control systems will be capable of automatically implementing diversion timing plans.
Altematively, the agency signal system operator can manually implement timing plans when required.

Incident diversion timing plans will be developed and tested for three (3) conidors within each of the
Orion agency jurisdictions, which include Hennepin County, the City of Minneapolis, and the City. The

3.1 Project Description/Objectives
The purpose of the project is to collect and display real-time traffic status information for agency traffic
engineers who are responsible for the management of day-to-day traffic operations on the arterial roadways
in the Twin Cities metropolitan area. The system will provide the capability to macroscopically assess the
performance of the arterial roadways and will complement the existing freeway management system by
providing arterial traffic engineers with the tools for coordinated traffic management for incidents. The
intent is to provide a system that will quickly and succinctly convey current overall traffic flow conditions

(e.g., volumes, average linkJroute joumey speeds, volume/capacity ratios) on arterial routes and wili alert the
operators of significantly changing conditions.
3.2 Locations
The data collection and display system shall be unplemented for the following arterial corridor sections in
the City:

• TH 52 (University Avenue) - Park Avenue to Emerald Street (Minneapolis)
• TH 51 (Snelling Avenue) - Hewitt Avenue to Randolph Street

3.3 Ownership, Installation, Operation, and Maintenance
Controller equipment upgrades/modifications will be required for this State Project, and the labor for this
effort will be performed by City personnel. Mn/DOT will define the modifications tequired for 30
master/controllers for the City, as well as supply the controller equipment, which includes modems and
interface boards, to be installed. Mn/DOT will perform the installation required for communication services.
These communication services include installing fiber optic cable from the I-94 corridor to the St. Paul City
Hall Annex. The City will pay the operational and maintenance costs of the communications services, and
will also pay the annual costs associated with the communications services.
The City will provide to Mn/DOT access to City Right-of-Way for instaliation by Mn/DOT of
communications cables at the Dale Street facility, if needed. The City will provide to Mn/DOT access to
City Right-of-Way for installation by Mn/DOT of the detection procured by Mn/DOT, which includes 40
Autoscope video sensors. The City shall own, operate, and maintain the detection components used in this
State Project.
Instaliation of hazdwaze and software at the City Hall Annex wili be performed by MnlDOT. Said hazdwaze
will be owned, operated, and maintained by the City. Mn/DOT will authorize the City to use for govemment
purposes the softwaze that it provides for this State Project. Said softwaze will be operated and supported by
the City. Mn/DOT will supply additional software support as appropriate.

4.1 ProjectDescription/Objectives
The Arterial Closed Circuit Television (CCT� Surveillance System will impiement an interagency arterial
traffic surveillance system that expands upon the existing freeway and arterial surveillance systems. This
system will provide arterial and freeway traffic management personnel with video surveillance of roadways
in the Twin Cities Metro Area for use in traffic mattagement, incident detection, and incident management.
This video will be shared with public agencies and private sector independent service providers to enhance
the region's traveler information systems. This system will supplement the existing traffic surveillance
video-sharing system between public agencies by developing and implementing an architecture for video
communications and control. All video will be routed through Mv/DOT's Traffic Management Center
(TMC) video routing switcher.
4.2 Locations
Traffic surveillance cameras will be installed at the following City locarions:

4.3 Ownership, Installarion, Operation, and Maintenance
The City wiil own and operate the traffic surveillance cameras which will be procured and installed by
Mn/DOT. The City wili maintain the cables, conduits, etc. from the point where the communication cables
enter the pole-mounted CCTV cabinet through the City cabinets to the point where the communication
cables enter the MvIDOT cabinets. Mn/DOT Electrical Services Section (ESS) Fort Snelling staff will
maintain the portion of the system from the pole-mounted CCT'V cabinet to the top of the camera pole, i.e.,
camera, lens camera housing, etc. Mn/DOT ESS TMC staff will maintain the fiber optic portion of the video
communications system. The Operations and Maintenance Plan for this State Project provides detail for each
location.
The cost for maintaitting the cameras and the communications components between the cameras and the
TMC will be paid for by Mn/DOT for the period of time from acceptance of the system components, when
the City assuxnes ownership and operation, until November 1, 2000, when the City will assume maintenance
responsibility. The costs associated with Mn/DOT's ESS Fort Sneliing maintenance support will be paid by
Mn/DOT.
The communication services which are provided beriveen the TMC switcher and the City aze covered, and
will continue to be covered, under Mn/DOT Agreement No. 72802 between the City and Mn/DOT.
Mn/DOT and the City will each be responsible for locating the portion of the system they maintain, as
required under the Gopher State One Call System.

The City of Saint Paul has been authorized as a partner in a MnDOT metro wide traffic information and managemert project called
ORION. This project is a cooperative effort between Saint Paul, Minneapolis, Hennepin County, and MnDOT to reduce traffic congestion

THIS AGREEMENT, which shall be interpreted pursuant to the laws of the State of Minnesota, is made
and entered into by and between the State of Minnesota, through its Commissioner of Transportation
(hereinafter "Mn(DOT"), and the Ciry of St. Paul (hereinaSer "Ciry").
'WHEREAS, Mn1D�T and the City are empowered to enter into joint powers agreements pursuant to
Minnesota Statutes Section 471.59, subdivision 1(1998); and
WHEREAS, two governmental units may enter into an agreement to cooperatively exercise any power
common to the contracting parties and one of the participating governmental units may exercise one of its
powers on behalf of the other governmental unit; and
WHEREAS, Mn/DOT may act on behalf of any governmental subdivision for the unprovement of
transportation facilities; and
WHEREAS, Mn/DOT has assembled a multi-agency team to complete an Intelligent Transportation
Systems (hereinafter "ITS") deployment initiative, the Orion Project (hereinafter "Orion"), that is a
cooperative effort to make more effective use of the existing transportation facilities through the
application of ITS technologies and, therefore, is beneficial to the citizens of the State of Minnesota; and
WHEREAS, Orion crosses jurisd'actional boundaries in its scope and, therefore, the City wishes to
appoint Mn/DOT to act on its behalf by coordinating all of the agencies involved in Orion in order to
achieve seamless transportation systems and by providing to the Ciry infrastructure improvements; and
WFiEREAS, MnlDOT has entered into an agreement with Lockheed Martin Federal Systems (hereinafter
"LMFS") to perform design activities and to acquire the required hazdware, software, and integration for
Orion; and
WHEREAS, the aforementioned agreement between LMFS and Mn/DOT identified as Mn/DOT
Agreement No. '75822, and its amendments aze incorporated herein by reference; and
WHEREAS, MniDOT's participation in Orion will include contributing staff time and state and federal
funds and administering and supervising the agreements required to complete the projects comprising
Orion; and
WHEREAS, the City will participate in Otion by contributing staff time and operations and maintenance
support and by providing to Mn/DOT access to City facilities as required by Orion.
NOW, THEREFORE, MnIDOT and the City agree to the following:

I. TERM OF AGI2EEMENT.
This Agreement shall be effective upon the date of execution and approval by the appropriate Ciry,
MnlDOT, and state officials and shall remain in effect until December 31, 2002. Upon termination,
the obligations, duties, and rights under this Agreement shall terminate unless extended prior to said
date by written amendment executed by the parties and approved by the appropriate City and State
officials.
II. CITY APPOINTMENT AND ACKNOWLEDGMENT FOR MN/DOT
a) The City appoints Mn/DOT to act on its behalf by coordinating all of the agencies involved in
Orion in order to achieve seamless transportation systems and by providing to the City
infrastructure improvements. Mn/DOT will direct the development and implementation of the
Orion State Projects, as identified in Appendix A, which is attached and incorporated.
b) The City acknowledges that Mn/DOT has entered into a public/private pattnership agreement
with (LMFS) to perform design activities and to develop the required software and integrate
the systems for the Orion State Projects identified in Appendix A.
III. OBLIGATIONS OF TI� CITY AND MN/DOT.
A. Program Management Team.
Mn/DOT will form a Program Management Team to act as a joint committee of representatives
from Mn/DOT, the City of Minneapolis, the Meuopolitan Council, Federal Highway
Admuiistration, the State Patrol Division of the Minnesota Depariment of Public Safety, and
LMFS (hereinafter "Program Management Team") to coordinate Oraon. The Program
Management Team will meet at mutually agreeable times and locations. MnlAOT shall be
responsible for the administration of the meetings and for notifying committee members of the
meeting dates, times, and agenda. The Program Management Team shall provide direction for
Orion and technical, schedule, and cost status of the Orion State Projects which aze detailed in
Appendix A. The City shall also appoint one representative to serve on the Arterial Team, a
subteam of the Program Management Team, which directs the Orion arterial projects.
B. Description of Work and Funding.
i. DUTIES OF CITY.
The City shall perform the following activities and provide the required services as the City's
contribution to Orion.
Proiect Management/CoordinationlImnlementation.
The City shall appoint a staff position for project coordinationladministration for the term of
Orion. This person shall work with Mn/DOT in keeping Orion status reports on schedule and

budget up-to-date and shall report to Mn/DOT as requested on the status of the City
involvement in the Orion State Projects.
Su�port staff.
The City shall provide for the Orion State Projects identified in Appendix A the needed staff to
help identify and provide input to all system design requirements; to review and approve the
system design; to perform installation and/or to provide installation support according to the
installation plan developed by LMF5 with input from the City and Mn/DOT; to test and accept
the LMFS-developed systems using a system acceptance test plan developed by LMFS with
input from the City and Mn/DOT; to review construction plans and specifications prior to
letting; to provide construction support and inspection when needed; to provide input to the
development of the Operations and Maintenance Plans; to participate in training for system
adnuuistrators and operators; and to participate in the evaluation of the systems. The City
staff shall cooperate with the Orion evaluation consultant, Cambridge Systematics, Inc., in the
data collection, as well as in the review of draft and finai reports. The City staff provided shall
be available, as needed, to respond to LMFS requests in a innely manner.
Access to facilities.
To the extent necessary to carry out this Agreement, the City shall provide to LMFS and its
subcontractors access to the City Hall Annex, as well as any other City facilities required to
upgrade the communications and install the Data Distribution Node (DDN) interface for the
City. The Ciry shali also provide access to City Right-of-Way when required for installation
and maintenance of cameras, cable, conduit, signs, monitors, computers, etc. for Orion State
Projects identified in Appendix A.
Operations and Maintenance Support
The Ciry shall provide the needed staff for operations of the Orion State Projects identified in
Appendix A, which includes the DDN interfaces to the Regional ITS Management System
located in the Transportation Building at 395 Jolm Ireland Boulevard, St. Paul. The City shall
also be responsible for the maintenance of the hardwaze and softwaze used for the Orion State
Projects identified in Appendix A, which includes the DDN interfaces to the Regional ITS
Management System. A detailed maintenance agreement between the City and Mn/DOT will
follow after the detailed design has been completed for the specific Orion State Projects.
2. DUTIES OF MNlDOT
ProfessionallTechnical Services
Mn/DOT may utilize contractual means to perform some of its responsibilities for Orion,
including schedule and budget management, selection of evaluation goals and objectives for
Orion, identification of required data collection, and prepazation of an Evaluation Plan and
Final Evaluation Repoft. Mn/DOT shall manage and administer any contracts entered into for
Orion. Mn/DOT shall direct the work of the contractors and pay for such services. Mn/DQT

shall provide to the City reports generated by it or by its contractors as to the status of the work
performed under these contracts.
Pro,�ect Management.
MniDOT shall prepare, manage, and administer its contract with LMFS for the design,
development, and integration of the required systems and software for Orion. Mn1DOT will
direct the work of LMFS and other contractors involved with implementing Orion and will
make payment for the equipment and services provided under Orion contracts.
Mn/DOT shall provide to the City reports generated by it or any and all of the contractors as to
the status of the work performed under such contracts. Mn/DOT will work with the Ciry in
keeping Orion status reports up-to-date and will report to the City as requested on the status.
Provision of DDN Interface to Regional ITS Management System.
Mn/DOT shall provide a DDN interface between the City Hall Annex and the Regional ITS
Management System. Mn/DOT shall also provide upgrades to the infrastructure as needed to
implement the DDN interface. Mn/DOT, with the support of LMFS, will identify test
acceptance criteria and wili conduct acceptance testing before the interface becomes
operational.
Through a sepazate agreement, Mn/DOT and the Metropolitan Council have purchased the
Lawrence Group base map which includes a nine-county metropolitan azea of Minneapolis-St.
Paul, and Mn/DOT will require Lawrence Group to make the required enhancements to support
Orion in a timely manner to meet the implementation schedule.
3. TERMS OF PAYMENT
Mn/DOT shall make no payments for work performed and materials provided by the City. It is
anficipated that staff time and installation support of the City will be used as local match to the
state funds. Therefore, the value of the City's in-kind contributions shall be accounted for and
reported to Mn/DOT monthly. The Ciry shall also submit to Mn/DOT schedule and budget
progress reports. The reports shall be in a format and time line designated by Mn/DOT for ffie
purposes of tracking the schedule and budget.
The City shall make no payments for work performed and materials provided by Mn/DOT in
implementing the DDN interface between the Ciry Hall Annex and the Regional ITS
Management System and in implementing the other Orion State Projects identified in Appendis
A.
IV. OWNERSHIP OF DOCIJMENTS AND COPYRIGHT.
Any reports, studies, photographs, negatives, or other documents prepared under this Agreement
shall be the exclusive property of Mn/DOT. Mn/DOT shall provide to the City copies of any
reports, studies, photographs, negatives, or other documents prepared under this Agreement and

grants the City a license to reproduce or otherwise use such documents and materials for government
purposes during and after the Agreement.
Mn/DOT shall own all right, tifle, and interest in all copyrightable materials pzoduced under this
Agreement. MnlDOT grants the City and the FHWA a royalty-free, non-exclusive, and irrevocable
license to reproduce, publish, or otherwise use and to authorize others to use for government
purposes the copyrights identified above.
The City acknowledges that LMFS shall retain all right, title, and interest in all software wluch
LMFS conceived or originated, either individually or joinfly with others, and which arises out of the
LMFS agreement with Mn/DOT, including ownership of copyright. In its Agreement with LMF5,
Mn/DOT reserved a royalty-free, nonexclusive, and inevocable license to reproduce, publish, or
otherwise use, and to authorize others to use, for government purposes in Minnesota the following:
1) the copyright in any software developed under the LMFS agreement with Mn{DOT, or under a
subgrant or subcontract under that agreement; and 2) any rights of copyrlght to which Mn/DOT, its
subgrantee, or contractoz purchase ownership under the LMFS agreement with Mn/DOT.
Therefore, Mn/DOT will authorize the City to use for government purposes in Minnesota the
aforementioned software that is required for operation of the Orion State Projects identified in
Appendix A.
V. OWNERSHIP OF EQUIPMENT.
Any equigment purchased for the City through the Mn/DOT Agreement with LMFS for the Orion
State Projects, including the DDN interfaces between the Regional ITS Management System and the
City facilities (City Hall Annex), shall become the propercy of the City, as a result of the Ciry's
participation in Orion, unless otherwise indicated in Appendix A. Therefore, after acceptance of the
equipment by the City and MnlDOT, the City shall be responsible for its operation and maintenance.
The City agrees thai all work shall be done by qualified, insured technicians in compliance with all
applicable laws, ordinances, and regulations.
VI. AUTHORIZED AGENTS.
The Ciry's Authorized Agent for the purpose of administration of this Agreement is Paul Kurtz,
Project Manager, or his successor and he shall be responsible for administrative services for the
project and reporting to MnIDOT.
Mn/DOT's Autlaorized Agent for the purpose of administration of this Agreement is James Wright,
ITS Section D'uector, or his successor and he shall be responsible for administrative services for the
project and reporting to the City.
VII. LTABILITY.
Any and all employees of Mn/DOT and all other persons employed by Mn/DOT to perform any or
all of the work under this Agreement shall not be considered employees of the City and any and all
claims that may or might arise under the Workers' Compensation Act of Minnesota on behalf of said

employees or persons whIle so engaged, and any and all claims made by any third person as a
consequence of any act or omission on the part of said employees or persons while so engaged in
any of the work contemplated herein, shall not be the obligation or responsibIlity of the City.
Any and all employees of the City and all other persons employed by the Ciry to perform any of the
work under this Agreement shall not be considered employees of Mn/DOT and any and all claims
that may or might azise under the Workers Compensation Act of Minnesota on behalf of said
employees or persons while so engaged, and any and all claims made by any third person as a
consequence of any act or omission on the part of said employees or persons while so engaged in
any of the work contemplated herein, shall not be the obligation or responsibility of Mn/DOT.
Each party shall be responsible for its own acts and omissions, the acts and omissions of its
employees, and results thereof to the extent authorized by law. The parties shall not be responsible
for the acts of any others and the results thereof. Liability of MnlDOT shall be govemed by the
provisions of the Minnesota Tort Claims Act, Minnesota Statute Section 3.736 (1998) and other
applicable law. Liability of the City shall be govemed by the provisions of the Municipal Tort
Claims Act, Minnesota Statutes Chapter 466 (1998).
VIII. ASSIGNMENT.
Neither Mn/DOT nor the City shall assign or transfer any rights or obligations under this Agreement
without the prior written approval of the offier party.
IX. TERMINATION.
This Agreement may be terminated by Mn/DOT or the City at any time, with or without cause,
upon ninety (90) days' written notice to the other party.
X. AMENDMENTS.
Any amendments to this Agreement shall be in writing and shall be executed and approved by the
proper City, MnIDOT, and state officials.
XI. DATA PRACTICES.
The City and Mn/DOT sha11 comply with Minnesota Statutes Chapter 13 (199$), the "Minnesota
Government Data Practices Act," as it applies to all data provided by the Ciry and MnIDOT in
accordance with this Agreement and as it applies to all data created, gathered, generated, or
acquired in accordance with this Agreement.

1.1 ProjectDescription/Objectives
The Data Distribution and Communications project will permit agencies to share Twin Cities metropolitan
area regional traffic, incident, event, and other informadon between multiple public agencies and private
traveler information providers. It will define a video architecture, information sharing requ'uements, and
a data communications network azchitecture. In addition, the project will implement Data Disuibution
Nodes (DDNs) at the various public agency locations, a Regional ITS Management System (RITS), and an
interagency communications network with appropriate network securiry.
The DDN will be built upon an open architecture and open communications which will position Mn/DOT
to adapt to future changes and integrate additional functions into the interagency data communications
network. It will contain the communications and data distribution management required to shaze data, as
well as the system administration functions to allow the user to easily set up and manage the distribution
of information. Travel and system data and information will be shared among public agencies on a peer-
to-peer basis through the DDNs, as well as allowing centralized access to information through the
Regional ITS Management System.
The Regional ITS Management System will be located in the Transportation Building at 395 John Ireland
Boulevard, St. Paul. It will provide a single point of interface between extemal uaveler information
providers and the public agencies. It will also provide appropriate data archiving services and appropriate
Orion supporting functions. Training materials will be developed and classes will be conducted using a
DDN "train the trainers" approach.
1.2 Locations
DDN functions will be provided at the following location in the City:

1.3 Ownership, Installation, Operation, and Maintenance
The City shall own the computer hardware and cables purchased and installed by Mn/DOT at
the City facilities for this State Project. The City shall also operate and maintain said components.
Mn1DOT will authorize the City to use for government purposes the software that it provides for this State
Project. Said software will be operated and supported by the City. Installation of new DDN hazdware
and softwaze will be performed by Mn/DOT with City support. Installation of software on existing
systems will be performed by the City with Mn(DQT support.
If leased services are required for communications between the City DDN locations and the Regional ITS
Management System, the City will wver costs at its facilities and Mn1DOT will cover costs at the
Regional ITS Management System location.

2.1 Project Description/Objectives
The purpose of the Tra�c Signal Control State Project is to increase the vehicle throughput on the arterial
road system by developing and implementing new signal timing plans. The focus will be on improving
traffic flow under conditions of heavier demand due to diversion conditions relating to incidents on the
freeway system. Operational thresholds for changing signal timing plans wIll be determined for each route
based on volume and occupancy data collected by signal system status detectors. When thresholds aze
reached, the s a°nal control systems will be capable of automatically implementing diversion timing plans.
Altematively, the agency signal system operator can manually implement timing plans when required.

The purpose of the project is to collect and display real-time traffic status information for agency traffic
engineers who are responsible for the management of day-to-day traffic operations on the arterial roadways
in the Twin Cities metropolitan area. The system will provide the capability to macroscopically assess the
performance of the arterial roadways and will complement the existing freeway management system by
providing arterial traffic engineers with the tools for coordinated traffic management for incidents. The
intent is to provide a system that will quickly and succinctly convey current overall traffic flow conditions

3.2 Locations
The data collection and display system shall be unplemented for the following arterial corridor sections in

3.3 Ownership, Installation, Operation, and Maintenance
Controller equipment upgrades/modifications will be required for this State Project, and the labor for this
effort will be performed by City personnel. Mn/DOT will define the modifications tequired for 30
master/controllers for the City, as well as supply the controller equipment, which includes modems and
interface boards, to be installed. Mn/DOT will perform the installation required for communication services.
These communication services include installing fiber optic cable from the I-94 corridor to the St. Paul City
Hall Annex. The City will pay the operational and maintenance costs of the communications services, and
will also pay the annual costs associated with the communications services.
The City will provide to Mn/DOT access to City Right-of-Way for instaliation by Mn/DOT of
communications cables at the Dale Street facility, if needed. The City will provide to Mn/DOT access to
City Right-of-Way for installation by Mn/DOT of the detection procured by Mn/DOT, which includes 40
Autoscope video sensors. The City shall own, operate, and maintain the detection components used in this
State Project.
Instaliation of hazdwaze and software at the City Hall Annex wili be performed by MnlDOT. Said hazdwaze
will be owned, operated, and maintained by the City. Mn/DOT will authorize the City to use for govemment
purposes the softwaze that it provides for this State Project. Said softwaze will be operated and supported by
the City. Mn/DOT will supply additional software support as appropriate.

4.1 ProjectDescription/Objectives
The Arterial Closed Circuit Television (CCT� Surveillance System will impiement an interagency arterial
traffic surveillance system that expands upon the existing freeway and arterial surveillance systems. This
system will provide arterial and freeway traffic management personnel with video surveillance of roadways
in the Twin Cities Metro Area for use in traffic mattagement, incident detection, and incident management.
This video will be shared with public agencies and private sector independent service providers to enhance
the region's traveler information systems. This system will supplement the existing traffic surveillance
video-sharing system between public agencies by developing and implementing an architecture for video
communications and control. All video will be routed through Mv/DOT's Traffic Management Center
(TMC) video routing switcher.
4.2 Locations
Traffic surveillance cameras will be installed at the following City locarions:

4.3 Ownership, Installarion, Operation, and Maintenance
The City wiil own and operate the traffic surveillance cameras which will be procured and installed by
Mn/DOT. The City wili maintain the cables, conduits, etc. from the point where the communication cables
enter the pole-mounted CCTV cabinet through the City cabinets to the point where the communication
cables enter the MvIDOT cabinets. Mn/DOT Electrical Services Section (ESS) Fort Snelling staff will
maintain the portion of the system from the pole-mounted CCT'V cabinet to the top of the camera pole, i.e.,
camera, lens camera housing, etc. Mn/DOT ESS TMC staff will maintain the fiber optic portion of the video
communications system. The Operations and Maintenance Plan for this State Project provides detail for each
location.
The cost for maintaitting the cameras and the communications components between the cameras and the
TMC will be paid for by Mn/DOT for the period of time from acceptance of the system components, when
the City assuxnes ownership and operation, until November 1, 2000, when the City will assume maintenance
responsibility. The costs associated with Mn/DOT's ESS Fort Sneliing maintenance support will be paid by
Mn/DOT.
The communication services which are provided beriveen the TMC switcher and the City aze covered, and
will continue to be covered, under Mn/DOT Agreement No. 72802 between the City and Mn/DOT.
Mn/DOT and the City will each be responsible for locating the portion of the system they maintain, as
required under the Gopher State One Call System.
