WHEREAS, Nor hern States Power (NSP) is required by Minnesota Statute
216B.241, Subdivis on 2, to make significant investments in and expenditures
for energy conserv tion improvement, and
WHEREAS, NSP is required to file a Conservation Improvement Program
(CIP) proposals wi h the Minnesota Department of Public Service (DPS) which
meets Minn. Stat. 16B.241, Subd. 2 requirements and Minnesota Rules Parts
7690.0100 - 7690.1 00, and
WHEREAS, the City of Saint Paul is in a unique position to assess the
energy conservatio needs of citizens within the City and direct resources to
programs and proje ts which best address those needs, and
WHEREAS, thi responsibility is consistent with the City Council's role
as the Community E ergy Council for the City of Saint Paul, as designated by
Resolution 87-508 pril 7, 1987, and
WHEREAS, NSP and the City entered into an agreement on May 1, 1988
effective through eptember 30, 1991, whereby NSP pays the City $500,000
annually to develo and operate DPS approved CIP programs,
WHEREAS, NSP in recognition of the unique position of the City, will
provide funds to t e City to continue to administer DPS-approved CIP programs
within the City of Saint Paul to satisfy NSP CIP requirements, and
" WHEREAS, the City Council passed Resolution 90-966 on June 28, 1990
which approved a c mprehensive package of energy programs, prepared by the
C,ity to serve the nergy conservation needs of NSP gas customers within the
corporate limit of Saint Paul for the period to be covered by the 1990-1992
CIP order,

_ NOW, THEREFO E, BE IT RESOLVED that the City shall enter into an
. agreement with NSP which shall give the City responsibility for the
development and op ration of CIP programs within the City of Saint Paul, which
are included in th �oint City-NSP filings to the DPS, and that this agreement
shall be in effect from October 1, 1991 to September 30, 1994, and
that the agreement shall required NSP to pay a maximum amount of $1,900,000
between October 1, 1991 through September 30, 1994 to the City for operation
of CIP programs, s bject to DPS approval, and
that the agreement shall allow for flexibility and protection of the City's
interest in the ev nt of disputes with NSP, significant changes in conditions
which caused the C ty to enter into the agreement, need for modifications in
programs, or other circumstances affecting the operation of CIP programs.

RE: CITY-N P CONSERVATION IMPROVEMENT PROGRAM (CIP) AGREEMENT
I am pleased to an ounce that the City administration and Northern States
Power (NSP) staff ave come to terms on a new City-NSP CIP Agreement.
Briefly, the City ould continue to be responsible for the development,
operation and eval ation of CIP-funded pro�ects in the City of Saint Paul for
three years beyond the term of the current City-NSP agreement which expires
September 30, 1991. NSP has agreed to commit $1,900,000 over the three years,
which sum constitu es a 25� increase in funding of the current three-year
City-NSP agreement.
This agreement nee to go into effect by October 1, 1990, in order to enter
into agreements wit the Energy Resource Center, Saint Paul Neighborhood
Energy Consortium, ayton's Bluff Neighborhood Housing Services, and West Side
Neighborhood Housin Services -- all of which are carrying out portions of the
comprehensive energ program package the City Council adopted by passing
Resolution 90-966 o June 28, 1990. Attached is a resolution authorizing the
agreement.
The Agreement
The proposed agreem nt between the City and NSP includes the following major
terms:
1. Agreement to e for three years, from October 1, 1991 to
September 30, 1994.
2. NSP to commit $1,900,000 over the three-year period.
3. Joint City-NS filing to be made every other year to the Minnesota
Department of ublic Service, which has authority to approve CIP
programs under State law.
4. City to be res onsible for development, implementation, operation and
evaluation of IP programs with the City, which are included in the

5. NSP to be r sponsible for providing necessary information to conduct
and evaluat programs.
6. Procedure f r the implementation of programs and payments to the City
will abide y the current Procedural Manual in effect.
7. City and NS to be able to unilaterally terminate agreement, after
negotiation if significant change in circwnstances, as well as for
nonperforma ce of obligations.
The rules governi g CIP require that a two-year program be submitted to the
DPS every other y ar. The City Council approved a two-year program on
June 28, 1990, of hich the first year is covered by the existing agreement,
and the second ye r will be covered by the new agreement.
Past ExQerience
I have been very p eased by the success and accomplishments of the partnership
of NSP, City, and ommunity-based non-profit subcontractors. Jointly, they
have provided a di erse array of effective energy programs to Saint Paul
residents. More t an 50$ of the households served are renters or low income.
A summary of the 1 90-1991 and 1991-1992 program approved by you is attached
for your reference
In conclusion, I a very excited by the future opportunities provided by the
extended agreement with NSP. Through this arrangement, the City will be able
to assure a coordi ated effort to meet the conservation needs of our
