WHEREAS , the Council of the City of Saint Paul, on March 24 ,
199�, approved Final Order, Resolution No. C.F. 90--384
authorizing the acquisition of property for the Merriam Park
Library Expansion described as follows:
Lot 8, Block 10, Lovering Park
WHEREAS, the City's Real Estate Division has secured a
purchase agreement for this property, also described as 1823
Marshall Avenue, Saint Paul, Minnesota in the amount of
$7 9 ,P141 P1 . P10. .
WHEREAS , the purchase of this property has been approved and
budgeted for in 1990 CIB Funds. �
THEREFORE BE IT RESOLVED, that the Council of the City of
Saint Paul hereby authorizes payment to James S. and Bonnie L.
Williams , owners of record, the amount of $79 ,000. 4lP1. The
conditions of the purchase of this property are contained in the
purchase agreement dated June 7 , 1990 , said agreement is attached
hereto and incorporated herein by reference.

PURCHASE AGREEMENT

3. Legal Description of the sale property:
a. Except avenue, Lot 8 , Block lfd, Lovering Park
�� b. The sale property shall include all real property
including but not limited to: garden bulbs , plants ,
shrubs and trees, storm sash, storm doors , screens, and
awnings; window shades , blinds, traverse, and curtain, and
- drapery rods; attached lighting fixtures and bulbs; plumbing
fixtures , watzr heater , heating plants (with any burners ,
. tanks, stokers, and other equipment used in connection
therewith) , central air conditioning equipment, electronic
air filter , Water Softener OWNED/RENTED/NONE, built-in
humidifier and dehumidifier , liquid gas tank and controls
( if the property of Seller) , sump pump; attached television
antenna , cable TV jac!cs, and wiring; BUILT-INS; dishwashers ,
garbage disposals, trash compactors, ovens, cook top stoves ,
microwave ovens , hood fans , intercoms; ATTACHED: carpeting,
mirrors, garage door openers, and all controls; smoke
detectors, fireplace screens, doors, and heatolators; AND:

6. Buyer shall pay real estate taxes prorated from the date of
closing due and payable in 1996.

7. Seller shall pay real estate taxes prorated to the date
of closing due and payable in 1990.
8. Seller shall pay all assessments levied against said property
prior to closing date. Seller sball provide Buyer with
evidence that all levied assessments have been paid.
9. Seller shall pay all utility bills to the date of closing and
sball arrange with the utility companies to have a11 services
discontinued by the closing date.
~10. Buyer shall pay all assessments pending but not levied
against said property.
11._ All levied assessments, delinquent taxes, and liens not paid
by the Seller as of the closing date shall be deducted from
the purchase price.
12. Seller shall provide the Buyer with a Warranty Deed for said
property. Seller shall be responsible to correct all
defects as shown in the Title Binder, should the Buyer
direct the Seller to do so.
13. Seller shall furnish the abstract for said property within
30 days after execution of this Purchase Agreement.
14. Buyer shall furnish a title binder for said property,
days prior to the closing date.
15. Closing date shall be September 28 , 1990 at which time
the seller shall deliver possession and keys to said property
to the Buyer. The closing date may be postponed and
rescheduled by mutual consent between the pazties hereto.
16. Sellers shall provide an affidavit on the date of Closing,
indicating that the Sellers have not used or permitted the
use of the subject property as a hazaidous waste disposal
facility as defined in section 115A.03 Subd. 10 of Chapter
121 of the Laws of Minnesota of 1983 and that there is no
basis to conclude that this property has been subject to or
contaminated by the release of any hazardous substance,
hazardous waste, pollutants, or contaminants as defined in
Section 115B.62 of the Minnesota Statutes.
All warranties and representations made in this Purchase
Agreement shall survive the Closing and the conveyance of
title to the property. This Purchase Agreement and all
obligations provided shall, to the extent not fully
satisfied and performed by or through the Closing, survive
the Closing and the conveyance of title to the property.
Conditions listed above are not binding until approved by city
council.
