WHEREAS, Section 5. 02 of the Saint Paul City Charter and
Section 3 . 04 of the Saint Paul Administrative Code authorize the
City Council, upon request of the City Attorney, to appoint special
counsel and provide compensation therefor in cases of conflict of
interest or of special and unusual circumstances; and
WHEREAS, a number of attorneys in' the City Attorney's Office
have been involved in providing Iegal services to the Mayor in the
matter of the termination of Stephen F. Conroy; and
WHEREAS, the City Attorney's Office also provides legal
services to the Saint Paul City Council which, pursuant to Charter
Section 12 . 12 .4 will conduct a public hearing in the Conroy matter;
and
WHEREAS, the City Attorney believes that to provide legal
services to the City Council in�:�.the Conroy matter would result in
the appearance of a conflict of interest for the City Attorney's
Office; now, therefore, be it
RESOLVED, that by virtue of said conflict circumstances, Ann
Huntrods be retained to provide legal services to the City Council
in its hearing into the matter of the termination of Stephen F.
Conroy; and, be it
FURTHER RESOLVED, that such legal services shall include:
review of the record from the administrative hearinq, the report
of the administrative law judge, providing legal advice to the City
Council as needed before, during and after the hearing, and
drafting of a resolution embodying the Council's decision; and be

FINALLY RESOLVED, that the billing rate shall be $110.00 per
hour and that the total fees shall not be in excess of a reasonable
fee having reference to the appropriate provisions of the Code of
Professional Responsibility�

This request arises out of the Mayor' s proposed termination of StepY�en F.
Conroy as fire chief. Because of the extensive involvement of the City
Attorney' s Office in this matter, we believe that to avoid the appearance of
a conflict of interest, we must secure outside counsel for the City Council
as it fulfills its Charter mandated requirement to hold a hearing and decide
whether termination is warranted.
ADVANTAOES IF APPROVED:
Counsel for the City Council and the avoidance of the appearance of a
conflict of interest for the City Attorney' s Office.

Financial Information:
While there are funds in the City Attorney' s outside counsel
account, we will be requesting additional funds to cover this
expense because the outside counsel account will be depleted
before the end of the year due to obligations owing on lawsuits
which are several years old.
