The Executive Committee shall be authorized to oversee any entity under contract to provide vendor certification services to the aforementioned jurisdictions and shall also be authorized to handle appeals of vendor certification status, and such other certification-related matters that may arise from time to time. Copies of said joint powers agreements are to be kept on file and/or record in the Office of Financial Services. WHEREAS, the City of Saint Paul, Ramsey County, the City of Minneapolis, Hennepin County, and Independent School District 625, pursuant to the provisions of Minnesota Statutes 471.59 aze authorized to enter into an agreement to exercise jointly the governmental powers and functions each has individually; and WIIEREAS, these same governmental entities have entered into an agreement to jointly purchase vendor certification services from a private contractot; and WF�REAS, these entities wish to jointly provide a mechanism for ongoing oversight of any certification vendor and to jointly perform other functions associated with the implementation of a central vendor certification process; NOW, THEREFORE, IT IS HEREBY AGREED, by and between the parties hereto as follows: 1. Within 30 days of the effective date of the initiai contract for central vendor certification services, the parties shall create The CertiFcation Collaborative Executive Committee. Said Committee shall be composed of one representative of each of the aforementioned governmental entities. 2. The Certification Collaborative Executive Committee sha11 have the authority to monitor the ongoing performance of any certification contractor and to resolve any problems that may arise. The Committee shall aiso handle and resolve vendor appeals of a certification or recertification decision. 3. Within 45 days of the effective date of the initial contract for central vendor certification services, The Certification Collaborative Executive Committee shall establish the time and place for its meetings, and generate appropriate policies and procedures for the conduct of its business and performance of its duties. 4. As mutually agreed upon, the parties may shaze the costs associated with the ongoing operation of the Certification Collaborative Executive Committee. ��_��1 5. Any party may terminate its obligations hereunder upon a tliirty (30) day notice of the intent to terminate sent to all of the other parties, but shali be responsible for its pro-rata share of any costs associated with The Executive Committee as of the date of teimination.
