THIS COOPERATIVE AGREEMENT, by and between the State of Minnesota, Department of Public Safety, (hereinafter
called the STATE) and Saint Paul Police Deparfinent, 100 East Eieventh Sfreet, Saint Paul, MN. (hereinafter called
GRANTEE), witnesseth that:
WHEREAS, the Governor has designated the STATE as the agency responsibie for administration of funds available to
the State of Minnesota under provisions of the �997 Laws of Minnesota, Chapter 239, Article 1, Section 7, Sub�iivision 8:
and
WHEREAS, the STATE is authorized under provisions of 1997 Laws of Minnesota, Chapter 239, Article 1, Section 7,
Subdivision 8 to make grant contracts from state funds to reimburse local governmentai units that have incurred costs
implementing community notifications for released sex offenders; and
WHEREAS, GftANTEE is authorized to accept state funds for the purpose specified in Attachment 1; and
WHEREAS, GRANTEE represents that it is duly qualified and willing to carry out the tasks described in Attachment 1.
NOW, THEREFORE, the STATE and �RANTEE agree as follows:
SCOPE, PURPOSE, AND TASKS OF Agreement. GRANTEE will carry out those tasks described in this
Agreement and the tasks described in the grant application as stated in Attachment 1 of this Agreement which is
hereby incorporated by reference and made a part of this Agreement.
CONSIDERATION AND TERMS OF PAYMENT.
A. Consideration for all services performed and goods or materials supplied by the STATE as foliows.
Compensation shall be consistent with the Program Line item Budget, included in Attachment � of this
Agreement.
2. Reimbursement for travel and subsistence expenses actuaily and necessarily incurred by GRANTEE in
performance of this Agreement in an amount not to exceed N/A dollars (� N/A l; provided, that
the GRANTEE shall be reimbursed for travel and subsistence expenses in the same manner and in no
greater amount that provided in the current "Commissioner's Plan" promulgated by the Commissioner of
Employee Relations. GRANTEE shall not be reimbursed for travel and subsistence expense incurred
outside of the State of Minnesota unless it has recelved prior written approval for such out of state travel
from the STATE.
3. The totai obligation of the STATE for ail compensation and reimbursements to GRANTEE shall not
exceed Six Thousand Five Hundsed Dolfacs (�y6,500.00}. '

B. Terms of Payment.
1. Advance payment in the amount of Three Thousand Dollars (53,000.00) will be paid to the GRANTEE
by the STATE within 30 days of the execution date of this Agreement.
2. Additional payments not to exceed a total amount of Three Thousand Five Hundred Dollars (53,500.00)
v✓iii be made on a cost reimbursement basis. Payments will be made upon receipt of invoice per
approved expenditures as stated in Attachment 1 of this Agreement. Invoices shall be filed quarteriy but
not more often then monthly and within 30 days of the period covered by the invoice for work satisfactorily
performed.
3. Payments are to be made from the State funds obtained by the S � AT� through the Commu�ity
Notification Grant authorized by 1997 Laws of Minnesota, Chapter 239, Article �, Section 7, Subdivision
8. If at any time funds become unavailabie, this Agreement shall be terminated immediately upon written
notice of such fact by the STATE to GRANTEE. In the event of such termination, GRANTEE shall be
entitled to payment, determined on a pro rate basis, for services satisfactoriVy performed for which State
funds are available. The GR,4NTEE agrees to return any unused funds to the STATE.
4. The GRANTEE will expend grant funds allocated for this project according to the attached pro�ect budget
included in Attachment 1 of this Agreement. The GRAN7EE will submit a revised budget for any
deviation of 10% or more between the allowable funding categores. The revised budget must be
approved by the STATE before any expenditures can be made based on :he revised budget. 1.
5. The GRANTEE agrees to return any unused funds to the S7ATE unless prior approval for an extension
has been granted by the STATE's Authorized Agent and an amendment to the grant Agreement has been
duly executed. Unused funds must be returned to the STA7E within 30 days of the ending date of the
Agreement.
Ilt. CONDITIONS OF PAYMENT. A!4 sesvices provided by GRANTEE pursua�t to this grant shatl be performed to
the satisfaction of the STATE as determined in the sole discretion of its authorized agenf, and in accord with all
applicable federal, state, and local laws, ordinances, rules and regulations. GRANTEE shall not receive payment
for work found by the STATE to be unsatisfactory, or performed in a violation of federal, state, or local law,
ordinance, rule, or regulation. •
IV. FAILURE TO COMPLY. The GRANTEE agrees to return funds to the STATE for any work the STATE in its sole
discretion determined to be unsat'isfactory or performed in violat'ion of federal, state or iocai law, ordinance, ruie
or regulation.
V. REDUCTION, SUSPENSION, OR TERMINATION OF FUNDING. If a GRANTEE does not fulfill obligations
under the Agreement in a timeiy and proper manner, or if GRANTEE violates condiiior�s of the Agreement, the
STATE may reduce, suspend, or terminate iunding with a 30-day notice of the effective date o� the action.
GRANTEE shall be entitled to payment for work or service satisfactorily performed for which state funds are
available.
This Grant Agreement may aiso be canceled by the STATE at anytime with or without cause, upon 30 days
written notice to the other party. In the event of such a cancellation, GRANTEE shall be entitled to payment
determinec on a pro rata basis for work or services satisfactorily performed.
VI. TERMS OF GRANT This grant Agseement shail be effective upon the d2te that the final reouired signature is
obtained by the STATE, pursuant to MS �6B.06, Subd. 2, and shall remain ir effect untii June 30. 1999, or until
alt obligations set forth in this grant Agreement have been satisfactorily fulfilled, whichever occurs first. Fhe
GRANTEE may claim reimbursement for expenditures incurred for services performed on or after July 1, 1997.
VII. STATE'S AUTHORIZED AGENT. The STATE's authorized agent for the purposes of this Agreement is Rosalind
R. Suilivan, or her successor in office, Department or Public Safety, Office of the Commissioner, 445 Minnesota

Street suite 1000, North Central Life Tower, St. Paul, MN 55�01-2128. Such agent shall have final authority for
acceptance of GRANTEE'S services.
VIII. REPORTING. GRANTEE will advise the STATE concerning project progress through such reasonable means as
the STATE may find convenient. These will include the following and shall be submitted to the STATE's
authorized agent per Section VII; of this Agreement:
A. GRANTEE shall make any and aIl project records , reports and other data available to the STATE upon
request; this includes submission of copies of any reports, data, surveys (including survey instruments), or
other materials for review and comment before they are prepared in final form, and six copies of all materials
produced by the project foilowing production of the materiais.
B. Permitfing periodic site visits by the STATE's authorized agent, other STATE staff or other employees of the
State of Minnesota on behalf of the STATE.
C. If initiated, particioation in statewide data collection and cooperation with a designated evaluator on behalf of
the STATE, for the purpose of statewide evaluation efforts and assistance with individual project evaluation
plans.
1X. ACCOUNTING, AUDIT AND RETENTION OF RECORDS.
A GRANTEE will establish a separate account of this project and will maintain fiscal records in accordance with
generally acceptable accounting principies. GRANTEE's records, documents, and accounting procedures
and practices for this pro�ect shall be subject to the examination of the STATE's authorized agent and by the
Legislative Auditor. Fiscal records shail be retained for a period of three years following submission of the
final report.
B. The books, records, documents, and accounting procedures and practices of any GRANTEE and/or
consultant relevant to this Agreement shali be subject to examination by STATE's authorized agent and the
legisiative auditor.
X. NONDISCRfMfNATION. As a condition of receiving suppost for this psoject, GRANTEE assures that it witl meet
ail applicable requirements oi the Civil Rights Act of 1964, as amended (nondiscrimination on the basis of
handicapping conditions), and of any applicabie state civil rights statutes.
XI. ASSIGNMENT. GRANTEE will neither assign nor transfer any rights of obligations under this Agreement without
the prior written consent of the STATE.
XII. OWNERSHIP OF DOCUMENTS AND PRODUCTS. Any reports, studies, photographs, negatives, instruments,
curriculum, videotapes, training manuals, media messages, or other documents or products (hereinafter called
documents or products) pre�ared by or for GRANTEE in the performance of its obligations under this Agreement
shall be exclusive property of the STATE. Ail such documents or products shall be remitted to the STATE by
GRANTEE upon completion, termination, or cancellation of this Agreement. GRANTEE shall not use, willingiy
allow, or cause to have such materials used for obligations under this Agreement without the prior written consent
of the STATE.
XIII. OWNERSHIP OF COPYRIGHT. All right, titie and interest in all copyrightable materiai which GRANTEE shall
conceive or originate either individually or jointly with others, and which arises out of the performance of this
Agreement, will be the property of the STATE and are by this Agreement assigned to the STATE along with
ownership of any and all copyrights of the copyrightable material. GRANTEE also agrees, upon the request of
the STATE, to execute all papers and perform ali other acts necessary to assist the STATE to obtain and register
copyrights cn such maieriafs. Where appiicable, works of autnorship created by GRANTEE 4os fhe STATE in
performance of this Agreement shali be considered "works made for hire" as defined in the U.S. Copyright Act.
XIV. AMENDMENT. Any amendments to this Agreement shall be in writing, and shzll be executed by the same
parties who executes the originai Agreement, or their successors.
XV. LIABlLITY. To the extent permitted by law, GRANTEE agrees to save and hold the STATE, its agents, and
employees harmless from any and aii claims or causes of action rising from the performance of this Agreement

by GRANTEE or GRANTEE'S agents or employees. This clause shall not be construed to bar any Iegal
remedies GRANTEE may have for the STATE's failure to fulfill its obiigations pursuant to this Agreement.
XVI. WORKEr2'S CONIPENSATION. The STATE a�rms that GRANTEE provided acceptable evidence of compliance
with the workers' compe�sation insurance coverage requirements of Minnesota Statutes, 176.181, Subdivision 2.
XVII. DATA PRIVACY ACT. The GRANTEE agrees to comply with the Minnesota Data Practices Act as it applies to
all data provided by the STATE in accordance with this Agreement and as it applies to ali data created, gathered,
generated or acquired in accordance with this Agreement.
XVIII. ANTITRUS7. GRANTEE hereby assigns to the State of Minnesota any and all ciaims for overcharges as to
goods andlor services provided in connection with this grant Agreement resulting from antitrust violafions which
arise under the antitrust laws of the United States and the antitrust laws of the State of Minnesota.

THIS COOPERATIVE AGREEMENT, by and between the State of Minnesota, Department of Public Safety, (hereinafter
called the STATE) and Saint Paul Police Deparfinent, 100 East Eieventh Sfreet, Saint Paul, MN. (hereinafter called
GRANTEE), witnesseth that:
WHEREAS, the Governor has designated the STATE as the agency responsibie for administration of funds available to
the State of Minnesota under provisions of the �997 Laws of Minnesota, Chapter 239, Article 1, Section 7, Sub�iivision 8:
and
WHEREAS, the STATE is authorized under provisions of 1997 Laws of Minnesota, Chapter 239, Article 1, Section 7,
Subdivision 8 to make grant contracts from state funds to reimburse local governmentai units that have incurred costs
implementing community notifications for released sex offenders; and
WHEREAS, GftANTEE is authorized to accept state funds for the purpose specified in Attachment 1; and
WHEREAS, GRANTEE represents that it is duly qualified and willing to carry out the tasks described in Attachment 1.
NOW, THEREFORE, the STATE and �RANTEE agree as follows:
SCOPE, PURPOSE, AND TASKS OF Agreement. GRANTEE will carry out those tasks described in this
Agreement and the tasks described in the grant application as stated in Attachment 1 of this Agreement which is
hereby incorporated by reference and made a part of this Agreement.
CONSIDERATION AND TERMS OF PAYMENT.
A. Consideration for all services performed and goods or materials supplied by the STATE as foliows.
Compensation shall be consistent with the Program Line item Budget, included in Attachment � of this
Agreement.
2. Reimbursement for travel and subsistence expenses actuaily and necessarily incurred by GRANTEE in
performance of this Agreement in an amount not to exceed N/A dollars (� N/A l; provided, that
the GRANTEE shall be reimbursed for travel and subsistence expenses in the same manner and in no
greater amount that provided in the current "Commissioner's Plan" promulgated by the Commissioner of
Employee Relations. GRANTEE shall not be reimbursed for travel and subsistence expense incurred
outside of the State of Minnesota unless it has recelved prior written approval for such out of state travel
from the STATE.
3. The totai obligation of the STATE for ail compensation and reimbursements to GRANTEE shall not
exceed Six Thousand Five Hundsed Dolfacs (�y6,500.00}. '

B. Terms of Payment.
1. Advance payment in the amount of Three Thousand Dollars (53,000.00) will be paid to the GRANTEE
by the STATE within 30 days of the execution date of this Agreement.
2. Additional payments not to exceed a total amount of Three Thousand Five Hundred Dollars (53,500.00)
v✓iii be made on a cost reimbursement basis. Payments will be made upon receipt of invoice per
approved expenditures as stated in Attachment 1 of this Agreement. Invoices shall be filed quarteriy but
not more often then monthly and within 30 days of the period covered by the invoice for work satisfactorily
performed.
3. Payments are to be made from the State funds obtained by the S � AT� through the Commu�ity
Notification Grant authorized by 1997 Laws of Minnesota, Chapter 239, Article �, Section 7, Subdivision
8. If at any time funds become unavailabie, this Agreement shall be terminated immediately upon written
notice of such fact by the STATE to GRANTEE. In the event of such termination, GRANTEE shall be
entitled to payment, determined on a pro rate basis, for services satisfactoriVy performed for which State
funds are available. The GR,4NTEE agrees to return any unused funds to the STATE.
4. The GRANTEE will expend grant funds allocated for this project according to the attached pro�ect budget
included in Attachment 1 of this Agreement. The GRAN7EE will submit a revised budget for any
deviation of 10% or more between the allowable funding categores. The revised budget must be
approved by the STATE before any expenditures can be made based on :he revised budget. 1.
5. The GRANTEE agrees to return any unused funds to the S7ATE unless prior approval for an extension
has been granted by the STATE's Authorized Agent and an amendment to the grant Agreement has been
duly executed. Unused funds must be returned to the STA7E within 30 days of the ending date of the
Agreement.
Ilt. CONDITIONS OF PAYMENT. A!4 sesvices provided by GRANTEE pursua�t to this grant shatl be performed to
the satisfaction of the STATE as determined in the sole discretion of its authorized agenf, and in accord with all
applicable federal, state, and local laws, ordinances, rules and regulations. GRANTEE shall not receive payment
for work found by the STATE to be unsatisfactory, or performed in a violation of federal, state, or local law,
ordinance, rule, or regulation. •
IV. FAILURE TO COMPLY. The GRANTEE agrees to return funds to the STATE for any work the STATE in its sole
discretion determined to be unsat'isfactory or performed in violat'ion of federal, state or iocai law, ordinance, ruie
or regulation.
V. REDUCTION, SUSPENSION, OR TERMINATION OF FUNDING. If a GRANTEE does not fulfill obligations
under the Agreement in a timeiy and proper manner, or if GRANTEE violates condiiior�s of the Agreement, the
STATE may reduce, suspend, or terminate iunding with a 30-day notice of the effective date o� the action.
GRANTEE shall be entitled to payment for work or service satisfactorily performed for which state funds are
available.
This Grant Agreement may aiso be canceled by the STATE at anytime with or without cause, upon 30 days
written notice to the other party. In the event of such a cancellation, GRANTEE shall be entitled to payment
determinec on a pro rata basis for work or services satisfactorily performed.
VI. TERMS OF GRANT This grant Agseement shail be effective upon the d2te that the final reouired signature is
obtained by the STATE, pursuant to MS �6B.06, Subd. 2, and shall remain ir effect untii June 30. 1999, or until
alt obligations set forth in this grant Agreement have been satisfactorily fulfilled, whichever occurs first. Fhe
GRANTEE may claim reimbursement for expenditures incurred for services performed on or after July 1, 1997.
VII. STATE'S AUTHORIZED AGENT. The STATE's authorized agent for the purposes of this Agreement is Rosalind
R. Suilivan, or her successor in office, Department or Public Safety, Office of the Commissioner, 445 Minnesota

Street suite 1000, North Central Life Tower, St. Paul, MN 55�01-2128. Such agent shall have final authority for
acceptance of GRANTEE'S services.
VIII. REPORTING. GRANTEE will advise the STATE concerning project progress through such reasonable means as
the STATE may find convenient. These will include the following and shall be submitted to the STATE's
authorized agent per Section VII; of this Agreement:
A. GRANTEE shall make any and aIl project records , reports and other data available to the STATE upon
request; this includes submission of copies of any reports, data, surveys (including survey instruments), or
other materials for review and comment before they are prepared in final form, and six copies of all materials
produced by the project foilowing production of the materiais.
B. Permitfing periodic site visits by the STATE's authorized agent, other STATE staff or other employees of the
State of Minnesota on behalf of the STATE.
C. If initiated, particioation in statewide data collection and cooperation with a designated evaluator on behalf of
the STATE, for the purpose of statewide evaluation efforts and assistance with individual project evaluation
plans.
1X. ACCOUNTING, AUDIT AND RETENTION OF RECORDS.
A GRANTEE will establish a separate account of this project and will maintain fiscal records in accordance with
generally acceptable accounting principies. GRANTEE's records, documents, and accounting procedures
and practices for this pro�ect shall be subject to the examination of the STATE's authorized agent and by the
Legislative Auditor. Fiscal records shail be retained for a period of three years following submission of the
final report.
B. The books, records, documents, and accounting procedures and practices of any GRANTEE and/or
consultant relevant to this Agreement shali be subject to examination by STATE's authorized agent and the
legisiative auditor.
X. NONDISCRfMfNATION. As a condition of receiving suppost for this psoject, GRANTEE assures that it witl meet
ail applicable requirements oi the Civil Rights Act of 1964, as amended (nondiscrimination on the basis of
handicapping conditions), and of any applicabie state civil rights statutes.
XI. ASSIGNMENT. GRANTEE will neither assign nor transfer any rights of obligations under this Agreement without
the prior written consent of the STATE.
XII. OWNERSHIP OF DOCUMENTS AND PRODUCTS. Any reports, studies, photographs, negatives, instruments,
curriculum, videotapes, training manuals, media messages, or other documents or products (hereinafter called
documents or products) pre�ared by or for GRANTEE in the performance of its obligations under this Agreement
shall be exclusive property of the STATE. Ail such documents or products shall be remitted to the STATE by
GRANTEE upon completion, termination, or cancellation of this Agreement. GRANTEE shall not use, willingiy
allow, or cause to have such materials used for obligations under this Agreement without the prior written consent
of the STATE.
XIII. OWNERSHIP OF COPYRIGHT. All right, titie and interest in all copyrightable materiai which GRANTEE shall
conceive or originate either individually or jointly with others, and which arises out of the performance of this
Agreement, will be the property of the STATE and are by this Agreement assigned to the STATE along with
ownership of any and all copyrights of the copyrightable material. GRANTEE also agrees, upon the request of
the STATE, to execute all papers and perform ali other acts necessary to assist the STATE to obtain and register
copyrights cn such maieriafs. Where appiicable, works of autnorship created by GRANTEE 4os fhe STATE in
performance of this Agreement shali be considered "works made for hire" as defined in the U.S. Copyright Act.
XIV. AMENDMENT. Any amendments to this Agreement shall be in writing, and shzll be executed by the same
parties who executes the originai Agreement, or their successors.
XV. LIABlLITY. To the extent permitted by law, GRANTEE agrees to save and hold the STATE, its agents, and
employees harmless from any and aii claims or causes of action rising from the performance of this Agreement

by GRANTEE or GRANTEE'S agents or employees. This clause shall not be construed to bar any Iegal
remedies GRANTEE may have for the STATE's failure to fulfill its obiigations pursuant to this Agreement.
XVI. WORKEr2'S CONIPENSATION. The STATE a�rms that GRANTEE provided acceptable evidence of compliance
with the workers' compe�sation insurance coverage requirements of Minnesota Statutes, 176.181, Subdivision 2.
XVII. DATA PRIVACY ACT. The GRANTEE agrees to comply with the Minnesota Data Practices Act as it applies to
all data provided by the STATE in accordance with this Agreement and as it applies to ali data created, gathered,
generated or acquired in accordance with this Agreement.
XVIII. ANTITRUS7. GRANTEE hereby assigns to the State of Minnesota any and all ciaims for overcharges as to
goods andlor services provided in connection with this grant Agreement resulting from antitrust violafions which
arise under the antitrust laws of the United States and the antitrust laws of the State of Minnesota.

THIS COOPERATIVE AGREEMENT, by and between the State of Minnesota, Department of Public Safety, (hereinafter
called the STATE) and Saint Paul Police Deparfinent, 100 East Eieventh Sfreet, Saint Paul, MN. (hereinafter called
GRANTEE), witnesseth that:
WHEREAS, the Governor has designated the STATE as the agency responsibie for administration of funds available to
the State of Minnesota under provisions of the �997 Laws of Minnesota, Chapter 239, Article 1, Section 7, Sub�iivision 8:
and
WHEREAS, the STATE is authorized under provisions of 1997 Laws of Minnesota, Chapter 239, Article 1, Section 7,
Subdivision 8 to make grant contracts from state funds to reimburse local governmentai units that have incurred costs
implementing community notifications for released sex offenders; and
WHEREAS, GftANTEE is authorized to accept state funds for the purpose specified in Attachment 1; and
WHEREAS, GRANTEE represents that it is duly qualified and willing to carry out the tasks described in Attachment 1.
NOW, THEREFORE, the STATE and �RANTEE agree as follows:
SCOPE, PURPOSE, AND TASKS OF Agreement. GRANTEE will carry out those tasks described in this
Agreement and the tasks described in the grant application as stated in Attachment 1 of this Agreement which is
hereby incorporated by reference and made a part of this Agreement.
CONSIDERATION AND TERMS OF PAYMENT.
A. Consideration for all services performed and goods or materials supplied by the STATE as foliows.
Compensation shall be consistent with the Program Line item Budget, included in Attachment � of this
Agreement.
2. Reimbursement for travel and subsistence expenses actuaily and necessarily incurred by GRANTEE in
performance of this Agreement in an amount not to exceed N/A dollars (� N/A l; provided, that
the GRANTEE shall be reimbursed for travel and subsistence expenses in the same manner and in no
greater amount that provided in the current "Commissioner's Plan" promulgated by the Commissioner of
Employee Relations. GRANTEE shall not be reimbursed for travel and subsistence expense incurred
outside of the State of Minnesota unless it has recelved prior written approval for such out of state travel
from the STATE.
3. The totai obligation of the STATE for ail compensation and reimbursements to GRANTEE shall not
exceed Six Thousand Five Hundsed Dolfacs (�y6,500.00}. '

B. Terms of Payment.
1. Advance payment in the amount of Three Thousand Dollars (53,000.00) will be paid to the GRANTEE
by the STATE within 30 days of the execution date of this Agreement.
2. Additional payments not to exceed a total amount of Three Thousand Five Hundred Dollars (53,500.00)
v✓iii be made on a cost reimbursement basis. Payments will be made upon receipt of invoice per
approved expenditures as stated in Attachment 1 of this Agreement. Invoices shall be filed quarteriy but
not more often then monthly and within 30 days of the period covered by the invoice for work satisfactorily
performed.
3. Payments are to be made from the State funds obtained by the S � AT� through the Commu�ity
Notification Grant authorized by 1997 Laws of Minnesota, Chapter 239, Article �, Section 7, Subdivision
8. If at any time funds become unavailabie, this Agreement shall be terminated immediately upon written
notice of such fact by the STATE to GRANTEE. In the event of such termination, GRANTEE shall be
entitled to payment, determined on a pro rate basis, for services satisfactoriVy performed for which State
funds are available. The GR,4NTEE agrees to return any unused funds to the STATE.
4. The GRANTEE will expend grant funds allocated for this project according to the attached pro�ect budget
included in Attachment 1 of this Agreement. The GRAN7EE will submit a revised budget for any
deviation of 10% or more between the allowable funding categores. The revised budget must be
approved by the STATE before any expenditures can be made based on :he revised budget. 1.
5. The GRANTEE agrees to return any unused funds to the S7ATE unless prior approval for an extension
has been granted by the STATE's Authorized Agent and an amendment to the grant Agreement has been
duly executed. Unused funds must be returned to the STA7E within 30 days of the ending date of the
Agreement.
Ilt. CONDITIONS OF PAYMENT. A!4 sesvices provided by GRANTEE pursua�t to this grant shatl be performed to
the satisfaction of the STATE as determined in the sole discretion of its authorized agenf, and in accord with all
applicable federal, state, and local laws, ordinances, rules and regulations. GRANTEE shall not receive payment
for work found by the STATE to be unsatisfactory, or performed in a violation of federal, state, or local law,
ordinance, rule, or regulation. •
IV. FAILURE TO COMPLY. The GRANTEE agrees to return funds to the STATE for any work the STATE in its sole
discretion determined to be unsat'isfactory or performed in violat'ion of federal, state or iocai law, ordinance, ruie
or regulation.
V. REDUCTION, SUSPENSION, OR TERMINATION OF FUNDING. If a GRANTEE does not fulfill obligations
under the Agreement in a timeiy and proper manner, or if GRANTEE violates condiiior�s of the Agreement, the
STATE may reduce, suspend, or terminate iunding with a 30-day notice of the effective date o� the action.
GRANTEE shall be entitled to payment for work or service satisfactorily performed for which state funds are
available.
This Grant Agreement may aiso be canceled by the STATE at anytime with or without cause, upon 30 days
written notice to the other party. In the event of such a cancellation, GRANTEE shall be entitled to payment
determinec on a pro rata basis for work or services satisfactorily performed.
VI. TERMS OF GRANT This grant Agseement shail be effective upon the d2te that the final reouired signature is
obtained by the STATE, pursuant to MS �6B.06, Subd. 2, and shall remain ir effect untii June 30. 1999, or until
alt obligations set forth in this grant Agreement have been satisfactorily fulfilled, whichever occurs first. Fhe
GRANTEE may claim reimbursement for expenditures incurred for services performed on or after July 1, 1997.
VII. STATE'S AUTHORIZED AGENT. The STATE's authorized agent for the purposes of this Agreement is Rosalind
R. Suilivan, or her successor in office, Department or Public Safety, Office of the Commissioner, 445 Minnesota

Street suite 1000, North Central Life Tower, St. Paul, MN 55�01-2128. Such agent shall have final authority for
acceptance of GRANTEE'S services.
VIII. REPORTING. GRANTEE will advise the STATE concerning project progress through such reasonable means as
the STATE may find convenient. These will include the following and shall be submitted to the STATE's
authorized agent per Section VII; of this Agreement:
A. GRANTEE shall make any and aIl project records , reports and other data available to the STATE upon
request; this includes submission of copies of any reports, data, surveys (including survey instruments), or
other materials for review and comment before they are prepared in final form, and six copies of all materials
produced by the project foilowing production of the materiais.
B. Permitfing periodic site visits by the STATE's authorized agent, other STATE staff or other employees of the
State of Minnesota on behalf of the STATE.
C. If initiated, particioation in statewide data collection and cooperation with a designated evaluator on behalf of
the STATE, for the purpose of statewide evaluation efforts and assistance with individual project evaluation
plans.
1X. ACCOUNTING, AUDIT AND RETENTION OF RECORDS.
A GRANTEE will establish a separate account of this project and will maintain fiscal records in accordance with
generally acceptable accounting principies. GRANTEE's records, documents, and accounting procedures
and practices for this pro�ect shall be subject to the examination of the STATE's authorized agent and by the
Legislative Auditor. Fiscal records shail be retained for a period of three years following submission of the
final report.
B. The books, records, documents, and accounting procedures and practices of any GRANTEE and/or
consultant relevant to this Agreement shali be subject to examination by STATE's authorized agent and the
legisiative auditor.
X. NONDISCRfMfNATION. As a condition of receiving suppost for this psoject, GRANTEE assures that it witl meet
ail applicable requirements oi the Civil Rights Act of 1964, as amended (nondiscrimination on the basis of
handicapping conditions), and of any applicabie state civil rights statutes.
XI. ASSIGNMENT. GRANTEE will neither assign nor transfer any rights of obligations under this Agreement without
the prior written consent of the STATE.
XII. OWNERSHIP OF DOCUMENTS AND PRODUCTS. Any reports, studies, photographs, negatives, instruments,
curriculum, videotapes, training manuals, media messages, or other documents or products (hereinafter called
documents or products) pre�ared by or for GRANTEE in the performance of its obligations under this Agreement
shall be exclusive property of the STATE. Ail such documents or products shall be remitted to the STATE by
GRANTEE upon completion, termination, or cancellation of this Agreement. GRANTEE shall not use, willingiy
allow, or cause to have such materials used for obligations under this Agreement without the prior written consent
of the STATE.
XIII. OWNERSHIP OF COPYRIGHT. All right, titie and interest in all copyrightable materiai which GRANTEE shall
conceive or originate either individually or jointly with others, and which arises out of the performance of this
Agreement, will be the property of the STATE and are by this Agreement assigned to the STATE along with
ownership of any and all copyrights of the copyrightable material. GRANTEE also agrees, upon the request of
the STATE, to execute all papers and perform ali other acts necessary to assist the STATE to obtain and register
copyrights cn such maieriafs. Where appiicable, works of autnorship created by GRANTEE 4os fhe STATE in
performance of this Agreement shali be considered "works made for hire" as defined in the U.S. Copyright Act.
XIV. AMENDMENT. Any amendments to this Agreement shall be in writing, and shzll be executed by the same
parties who executes the originai Agreement, or their successors.
XV. LIABlLITY. To the extent permitted by law, GRANTEE agrees to save and hold the STATE, its agents, and
employees harmless from any and aii claims or causes of action rising from the performance of this Agreement

by GRANTEE or GRANTEE'S agents or employees. This clause shall not be construed to bar any Iegal
remedies GRANTEE may have for the STATE's failure to fulfill its obiigations pursuant to this Agreement.
XVI. WORKEr2'S CONIPENSATION. The STATE a�rms that GRANTEE provided acceptable evidence of compliance
with the workers' compe�sation insurance coverage requirements of Minnesota Statutes, 176.181, Subdivision 2.
XVII. DATA PRIVACY ACT. The GRANTEE agrees to comply with the Minnesota Data Practices Act as it applies to
all data provided by the STATE in accordance with this Agreement and as it applies to ali data created, gathered,
generated or acquired in accordance with this Agreement.
XVIII. ANTITRUS7. GRANTEE hereby assigns to the State of Minnesota any and all ciaims for overcharges as to
goods andlor services provided in connection with this grant Agreement resulting from antitrust violafions which
arise under the antitrust laws of the United States and the antitrust laws of the State of Minnesota.
